The following FAR Clauses are hereby incorporated and made a part of this Letter Contract:

EXECUTION AND COMMENCEMENT OF WORK (FAR.216-23) (APR 1984)

The Contractor shall indicate acceptance of this letter contract by signing three copies of the contract and returning them to the Contracting Officer not later than November 20, 1997.

Upon acceptance by both parties, the Contractor shall proceed with performance of the wo?, including purchase of necessary materials.

4 CONTRACT DEFINITIZATION (FAR 52.216-25) (APR 1984)

(a) A Cost Plus Fixed Fee definitive contract is contemplated. The Contractor agrees to begin promptly negotiating with the Contracting Officer the terms of a definitive contract that will-include (1) all clauses required by the Federal Acquisition Regulation (FAR) on the date of execution of the letter contract, (2) all clauses required by law on the date of execution of the definitive contract, and (3) any other mutually agreeable clauses, terms, and conditions. The Contractor agrees to submit a cost plus fixed fee type of proposal and cost or pricing data supporting its proposal.

(b) The schedule for definitizing this contract is:

(1)

The contrac*or's price proposal shall be submitted by December 19, 1997.

(2)

Negotiations will start on or about January 8, 1998.

(3)

Target date for contract definitization:

January 30, 1998 (c) If agreement on a definitive contract to supersede this letter contract is not reached by the target date in paragraph (b) above, or within any extension of it granted by the Contracting Officer, the Contracting Officer may, with the approval of the head of the contracting activity, determine a reasonable price or fee in accordance with Subpart 15.8 and Part 31 of-the FAR, subject to Contractor appeal as provided in the Disputes clause. In any event, the Contractor shall proceed with completion of the contract, subject only to the Limitation of Government Liability clause.

(1) After the Contracting Officer'c determination of prine or fee, the contract shall be governed by--

(i) All clauses required by tlie FAR.on tl3 date of execution of this letter contract for either fixed-price or cost-reimbursement contracts, as determined by the Contracting Of ficer under this paragraph (c) ;

(ii)-All clauses required by law as of the date of the Contracting Of ficer's determination; and (iii) Any other clauses, terms, and conditions mutually agreed upon.

G (2) To the extent consistent with subpar & graph (c) (1) above, all clauses, terms, and conditions included in this letter contract shall continue in effect, except those that by their nature apply only to a letter contract.

SPEcIAL 8 (a) CONTRACT CONDITIONS (FAR 52.219-11) (FEB 1990)

The Small Business Administration (SBA) agrees to tne following:

(a) To furnish the supplies or services set f?rth in this contract according to the specifications and tr e terms and conditions hereof by subcontracting wit.h an eligible concern pursuant to the provisions of section 9 (a) of the Small Business Act, as amended (15 U.S.C. 637 (a)).

(b) That in the event SBA does not award e. subcontract for all or a part of the work hereunder, this contract may be terminated either in whole or in par without cost to either r

party.

(c) Except for novation agreements and advance payments, delegate to the U. S. Nuclear Regulatory Commission the responsibility for administering the subcontract to be awarded hereunder with complete authority to take any action on behalf of the Government under the terms and conditions of the subcontract;

-provided, however, that the U.S. Nuclear Regulatory Commission shall give advance notice to the SBA before it issues a final notice terminating the right of a subcontractor to with further performance, either in whole or in part, under the subcontract for default or for the convenience of the Government.

(d) That payments to be made under any subcontract awarded under this contract will be made directly to the subcontractor by the U.S. Nuclear Regulatory Commission.

(e) That the subcontractor awarded a subcontract hereunder shall have the right of appeal from deci-ions of the Contracting Officer cognizable under the ' Disputes' clause of said subcontract.

(f) To notify the U.S. Nuclear Regulatory Commission Contracting Officer immediately upon notification by the subcontractor that the owner or owners upon whom 8(a) eligibility was based plan to relinquish ownership or control of the concern.

(a) The Small Business Adninistration (SBA) has entered into Contract No. NRC-09-98-202 with B L Seamon & Associates, Incorporated to furnish the supplie*J or services as described therein. A copy of the contract is attached hereto and nade a part hereof.

w (b) B L Seamon & Associates, Incorporated, hereafter referred to as the subcontractor, agrees r-.3 acknowledges as follows:

(1) That it will, for and on behalf of the SBA, fulfill and perform all of the requirements of Contract No. NRC-09-98-202 for the consideration stated therein and that it hcs read and is familiar with each and every part of the contract.

(2) That the SBA has delegated responsibility, except for novation agreements scd advance payments, for the administration of this subcontract to the U.S. Nuclear Regulatory Commission with complete authority tc take any action on behalf of the Government under the terms and condit.ionr of this subcontract.

(3) That it wi31 not subcontract the performance of any of the requirements of this subcontract to any lower tier subcontractor without the prior written approval of the SPA and the designated Contvacting Officer of the U.S. Nuclear Regulatory Commis sion.-

e Statement of Work for Contract Support for Strategic Planning and Performance Planning 1.

Introduction The U.S. Nuclear Regulatory Commission (NRC) is improving the way that it conducts its business, with the goal of assuring that the agency is both effective and efficient in implementing its mission. A key initiative towards this end was the strategic assessment and rebaselining. This intemalinitiative supported NRC's efforts to implement the Govemment Performance and Reporting Act (GPRA) and other Congressional and Administration initiatives that are demanding grester accountability for results from Federal agencies. Some recent results of this work include the agency's FY 1997-2002 strategic plan, FY 1999 performance plan, regulatory excellence initia9ve, and the program-level operating plans.

The Chief Financial Officer (CFO) has developed a disciplined, integrated system for planning, budgeting, and assessing performance that will enable the agency to meet the demands of the new results-driven Federal environment. The design of the NRC's new uystem has been endorsed by NRC's Executive Council and is based on six key principles:

1. Stewardship for the overall system will rest with the Chief Financial Officer.

Leadership for individual components of the systeni by other organizations will be explicitly identified.

2. Expectations for everyone involved in the system will be weli understood.
3. Strategic and policy decisions will procede budget decisions.
4. Results from the various assessment initiatives (intemal and extemal) wil: be incorporated into the planning and budgeting components of this system
5. Activities that no longer add value or add limited value toward achieving the NRC's goals will be identified and eliminated.
6. Progress toward achieving NPC's goals will be monitored througnout the year, The first phase in the cycle is to establish the objectives for the agency and decide how it will meet those objectives. The products of this phase are a Commission-approved NRC strategic plan and a performance plan. Each fall, the CFO, working with the Executive Council, will convene a small group of experienced managers selected for their strategic perspective of the agency and its programs to conduct a " top-down" review of these plans.

They will challenge the extent to which our performance goals and measures, and atrategies should be changed. This review will consider such questions as:

Are the goals and targets still appropriate fcr determining whether NRC is achieving its mission?

Are we achieving our goals? If not, why not?

l Statement of Work for Contract Support for Strategic Planning and Performance Planning Are there changes in the extemal environment that suggest that NRC should pursue new goals and strategies?

Should we modify our strategies based on past experience? For example, do we have performance data that suggest our strategies are not working and should be changed?

The answers to some of these types cf questions will come from the " bottom-up" recommendations generated in annual program reviews, in addition, the group of managers will consider changes in the external environment that might influence the NRC's goals and strategies. During the FY 2000 planning and budgeting cycle, the group will also emphasize ensuring that the NRC's goals, performance measures, and strategies in the first strategic plan and performance plan are aligned and logically linked together.

The result of the group's work will be a set of propc;,ed changes to the strategic plan and performance plan that will be reviewed by NRC managers and the Executive Council and forwarded to the Commission for decision. The changes are expected to be evolutionary for the c) ming year, based on lessons teamed from developing the first strategic plan and performance plan. In future years, we expect that changes will only be necessary to " refresh" the plans, Updates to the agency's strategic plan and performance plan will be shared, as appropriate, with Congress, the Office of Management and Budget (OMB), NRC staff, and other interested stakeholders. At the program level, program managers will be responsible for incorporating changes to the strategic plan and tne performance plan into their corresponding operating plans.

Steps for the Plannina and Budactina Cycle:

October - December: The CFO convenes six to ten experienced managers for top-down review of the agency strategic plan and performance plan.

December: The CFO submits the proposed

  • evolution" of the strategic plan and the performance plan to the Executive Council for endorsement.

January: The Executive Council submits the proposal to the Commission for review and decision.

February: Commission issues decisions; the decisions are relayed to office and program managers.

II.

Work to be Accomplished by the Contractor A. Assist the NRC Office of the CFO in preparing for an annual top-down review of the agency strategic plan and performance plan. Assistance willinclude reviewing the existing strategic plan and performence plan, and developing a suggested list of questions and other discussion aida for use by a group of agency managers during facilitated sessions. Illustrative questions are included in Section I above.

9. Provide expert advice to the NRC as they conduct the annual top-down review of the agency strategic plan and performance plan during the months of October through January. The annual review willinclude a critical examination of the general goals and associated strategies in the stratogic plan, and the performance goals and associated performance indicators in the performance plan in light of any changes in the extemal environment, and an assessment of the agency's past success in achieving its goals. The contractor shall facilitate focus group sessions at the NRC facilities in Rockville, Maryland. The contractor shall document the results of each facilitated session in a letter report to the NRC project manager within five calendar days after completion of the session. The contractor shall make a recommendation regarding the revisions to be made to the NRC's strategic plan and performance plan in a letter report to the NRC project manager within five working days after completion of the last session.

C.

Cnduct an analysis and make a recommendation regarding any desirable changes in the techniques to be used to verify and validate the data used to measure NRC progress in achieving its performance goals. The recommendations will be provided in a letter report to the NRC project manager.

D.

Provide expert assistance to the NRC in revising the Agency's strategic plan and annual performance plan as a result of Program Review Committee, Executive Council, Commission, OMB or Congressional comments.
