Dear Mr. Patrick:

In accordance with the Section G.5, Task Order Procedures, of the subject contract, this letter definitizes Task Order No. 5. This effort shall be performed in accordance with the enclosed i Statement of Work and the Contractor's technical proposal dated October 21,1998, revised i December 22,1998, which is incorporated by reference and made a part of this task order.

Task Order number 5 shall be in effect from January 11,1999, through July 12,1999, with a l

cost ceiling of $66,349. The amount of $60,390 represents reimbursable costs, the amount of l

$1,732 represents the cost of facilities capital, and the sum of $4,227 represent the fixed fee. l The obligated amount shall, at no time, exceed the task order ceiling. When and if the amount (s) paid and payable to the Contractor hereunder shall equal the obligated amount, the Contractor shall not be obligated to continue performance of the work unless and until the Contracting Officer shallincrease the amount obligated with respect to this task order. Any work undertaken by the Contractor in excess of the obligated amount specified above is done so at the Contractor's sole risk.

This task order obligates funds in the amount of $66,349, of which $60,390 represents /

reimbursable costs, $1,732 represents the cost of facilities capital, and $4,227 represents the fixed fee. Accounting data for this task order is as follows:

TAC NUMBER: VARIOUS FEE RECOVERABLE: YES 1.0 Backaround Uranium mill sites under license after November 8,1978, are regulated unde r Title !! of the Uranium Mill Tailings Radiation Control Act (UMTRCA), which amended the Atomic Energy Act.

The reclamation (closure) plans for these sites should meet the requiremen'.s of 10 CFR 40 which are, in part, that reclamation of Uranium processing sites be conducted in accordance with a plan which provides reasonable assurance of long-term stability and does not rely on active maintenance.

i NRC staff generally conduct routine inspections of licensee's activities in accordance with l applicable inspection guidolines. These inspections may be supplemented by separate inspections of specific reclamation plan construction activities. After an inspection (and review of supporting documents), NRC staff will document that construction / operation is in accordance l

with the approved plan, or alternatively, that deviations from the approved plan are noted.

When deviations are indicated, appropriate action, including issuance of notice of violation, may  ;

be initiated by NRC.

2.0 Objective The objective of an inspection is to determine whether the licensee's operation / reclamation activities are being conducted in accordance with approved plans required by their license and are in compliance with applicable regulations. The contractor shall assist NRC in performance and documentation of these inspections to confirm that the as-built design meets the approved plan.

3.0 Technical Qualifications Reauired The contractor shall provide the services of a.geotechnical engineer and /or groundwater hydrologist. These persons should have earth construction experience with the capability to evaluate the construction and quality control testing aspects of earthen Uranium mill tailings embankments, and evaluate groundwater monitoring and remediation issues. Familiarity with the Standard Review Plan and construction inspection procedures used by the Uranium Recovery Branch is required.

l 4.0 Levelof Effort i

The estimated effort for providing contract support for six inspections under this task is 400 staff hours (0.20 FTE) for a geotechnical engineer and/or groundwater hydrologist, as appropriate.

This does not include time spent waiting for Licensee responses or NRC and management i

1 reviews. Depending on the scope of the inspection, all of the above expertise may not be used in allinspections. .

3 5.0 Period of Performance -

January 11,1999 through July 12,1999.

6.0 Scope of Work The contractor shall use appropriate sections of the applicable NRC Manual Chapters (MC2801, MC2641, MC0610), site specific background information, and discussions with NRC staff, to:

1. Review background information and become familiar with NRC's procedures for performing construction and ground-water monitoring inspections.
2. For each inspection prepare an inspection plan, in consultation with the NRC staff, providing the objectives of the inspection, identifying what manual chapter and inspection procedures will be followed, and what areas will be inspected.
3. Assist NRC in performing or independently perform inspections of ISL facilities and/or Title ll reclamation activities. This could include obsentation of earthwork operations and/or groundwater monitoring and cleanup, assessment of licensee quality control, and review of construction and monitoring records to assess whether the licensee is meeting the requirements of the approved reclamation plan and 10 CFR Part 40.
4. Prepare input to the inspection report (similar to a model report to be provided by NRC staff) presenting the evaluation of the inspected activities and records, with conclusions on the licensee's performance with respect to license conditions applicable to the reclamation plan.

7.0 Meetina and Travel l

It is estimated inat one, one-day /two-person meeting will be held at NRC's offices in Rockville, Maryland (if required). In addition, travel to the uranium recovery sites will be required, to review construction and monitoring data and physically perform the final inspection. The sites to be inspected will be dasignated at the time of initiating work under this task. For the purpose of estimating assume NM (2 different sites,1 person,1 day each plus travel time), WY (2 different sites,1 person,1 day each plus travel time), and Utah (2 different sites,1 person,1 day each plus travel time). Inspections can generally be completed in one day, allowing two additional travel days per site.

The time required to obtain responses from the licensee or management approval of various phases is estimated under the response column. Deliverable dates are not provided because the scheduling of inspections will be based on construction activities. _

10. Technical Direction The Technical Monitor will be designated at the time of initiation of this task. Inspection activities shall be coordinated with Region IV NRC office. Technicalinstructions may be issued from time to time during the duration of this task. Technical instructions shall not constitute new assignments of work or changes of such nature as to justify an adjustment in cost or period of performance. Directions for changes in the scope of work, cost, or period of pedormance must l be coordinated through the NMSS Project Officer and approved by the NRC Contracting Officer.
