Completion of the FirstEnergy Corporation Merger Ladies and Gentlemen:
Pursuant to NRC's " Order Approving Application Regarding Merger Agreement Between Centerior Energy Corporation and Ohio Edison Company"(" Order") dated June 19,1997, please be advised that the merger of Centerior Energy Corporation and Ohio Edison Company (OE),
resulting in the formation of a new holding company, FirstEnergy Corporation, after a closing on November 7,1997, became effective on November 8,1997. As reflected in the above Order, Toledo Edison Company (TE), The Cleveland Electric Illuminating Company (CEI), and Centerior Service Company (CSC) are the licensees of the Davis-Besse Nuclear Power Station, Unit 1, while TE and CSC (wholly owned subsidiaries of Centerior Energy Corporation) "are l
authorized to act as agents for CEI, and have exclusive responsibility and control over the

physical construction, operation, and maintenance of the facility." Order at 1. This remains unchanged as a result of the merger. The Order further provides that, as a result of the merger, FirstEnergy Corporation would replace Centerior Energy Corporation, and "TE, CEI, CSC and OE will become wholly owned subsidiaries of FirstEnergy Corporation," Order at 2. As noted in bg the Order, "[t]he current licensees will continue to hold the license." Order at 2.
