application (Toledo Edison Serial Number 2540) for a 10 CFR 50.80 order and a j[
conforming license amendment for the Davis-Besse Nuclear Power Station (DBNPS)

Unit Number 1 Operatin'g License Number NPF-3. The proposed changes would l
transfer operating authority for the DBNPS from the Toledo Edison Company (TE) and Centerior Service Company (CSC) to a new company, FirstEnergy Nuclear Operating Company (FENOC). The June 29,1998 application was previously supplemented by h

The June 29,1998 application proposed that paragraph 2.C.(6) of the Operating License read as follows-FENOC shall comply with the antitrust conditions delineated in Condition 2.E of this license as if named therein. Toledo Edison Company is responsible and accountable for the actions of FENOC to the extent that FENOC's actions contravene the antitrust license conditions of Condition 2.E of this license.

FENOC shall not market or broker power or energy from the Davis-Besse Nuclear Power Station, Unit No.1. The Owners are responsible and accountable for the actions of FENOC to the extent that said actions affect the marketing or brokering of power or energy from the Davis-Besse Nuclear Power Station, Unit No.1.
Based on recent discussions with the NRC staff, it is requested that the proposed Operating License paragraph 2.C.(6) be replaced with the following:
FENOC shall comply with the antitrust conditions delineated in Condition 2.E of this license as if named therein. FENOC shall not market or broker power or energy from the Davis-Besse Nuclear Power Station, Unit No.1. The Owners are responsible and accourtable for the actions of FENOC to the extent that said actions affect the marketing or brokering of power or energy from the Davis-L Besse Nuclear Power Station, Unit No.1, and in any way, contravene the antitrust license condition contained in the license.

In addition, it is proposed to revise the asterisked footnote to Operating License I
paragraph 2.E to read as follows:

- " Applicants" as used by the Appeal Board refers to the Toledo Edison Company, l
Cleveland Electric Illuminating Company, Duquesne Light Company, Ohio Edison Company and Pennsylvania Power Company although among the l
preceding only the Toledo Edison Company and Cleveland Electric Illuminating l
Company are Licensees for this facility.
The June 29,1998 application concluded that the proposed changes have no adverse effect on nuclear safety, that the proposed changes do not involve a significant hazards consideration, and that the proposed changes do not constitute an unreviewed safety question. The changes described above have no effect on these conclusions.
As indicated in the October 26,1998 supplemental letter, it is requested that the NRC process the application on a schedule that will permit issuance of an immediately ff ti d

before December 15,1998, and that the NRC also issue the conforming license l
amendment during the month of December,1998. This will allow FENOC to begin

operations on January 1,1999.
