Dear Mr. Kingsley:
As indicated in the letter from Jack W. Roe, U. S. Nuclear Regulatory Commission, to D. L.
Farrar, Commonwealth Edison Company (Comed), dated June 13,1994, which documented the NRC's consent to the corporata restructuring of Comed, Comed " agreed that it shall provide copies of eny petition to the Illinois Commerce Commission (ICC] regarding the transfer of assets pursuant to Section 7-102(c) of the Illinois Public Utilities Act to the Director, Nuclear Reactor Regulation (NRR), when such documents are filed with the ICC."
In a letter of December 29,1997, Comed notified the NRC about the sale of two Comed fossil stations. In this letter Comed also requested that the above agreement be changed to reflect the latest NRC conditions requiring licensees to notify the NRC of transfers of assets to affiliates imposed in connection with the approval of certain license transfers.
This letter is to inform you that the following, in lieu of the agreement by Comed referenced in the June 13,1994 letter, is acceptable:
I Commonwealth Edison Company (Comed) shall provide the Director of the Office of Nuclear Reactor Regulation a copy of any application, at the time it is filed, to transfer (excluding grants of security interests or liens) from Comed to its parent or to any other h.
affiliated company, facilities for the production, transmission, or distribution of electric

energy having a depreciated book value exceeding ten percent (10%) of Comed's consolidated net utility plant as recorded on Comed's books of account.
