Dear Mr. Jordan:

On April 13, 1988 you appealed the NRC's April 5, 1988 decision to deny release of a January 28, 1988 memorandum from Victor Stello to Chairman Zech. A draft memorandum of agreement (MOA) between NRC and the Institute of Nuclear Power Operations (INPO) is attached to the 1/28/88 memorandum.

In response to your appeal, the documents were reviewed again. Based on that review I af firm the Agency's initial action, as outlined below.

The denied documents were withheld under Exemption 5 of the Freedom of Information Act (FOIA), 5 U.S.C. S 552(b) (5) and the Commission's regulations at 10 C.F.R. 9.5 (a) (5) , as they contain the analyses. opinions and recommendations of the staff to the Commission and are part of the agency's predecisional process. The purpose of the deliberative process privilege is to "prevent injury to the quality of agency decisions." NLRB v. Sears, Roebuck & Company, 421 U.S. 132, 151 (1975). Disclosure of these predecisional documents would be likely to "stifle honest and frank communication within the agency." coastal States Gas Corp. v. Department of Energy, 617 F.2d 854, 866 (D.C.

Cir. 1980).

Also, any factual information in the denied documents is so inextricably connected to the deliberative material that it is impossible to reasonably segregate meaningful portions of that factual information from the deliberative information.

1979).
