I am writing with regards to the materials license (number SNM 1557) held by Welbom Memorial Baptist Hospital, Inc, located at 401 Southeast Sixth Street, Evansville, Indiana 47713.

Please be advised that the above-referenced licensee anticipates a possible change in ownership on or after September 15,1998. Therefore, I am writing pursuant to 10 CFR 30.34(b) to provide timely notification to the Nuclear Regulatory Commission before the proposed change of ownership, and to obtain prior written consent to such action from the Commission. This notification is made on the condition that if this change of ownership does not occur for any reason, the licensee will promptly notify the Commission who will reinstate this license without any further change in status.

The following information is provided to the Commission at this time in accordance with the information requirements set forth in NRC Information Notice 89-25, Rev.1:

1. The new name of the licensed organization. If there is no change, the licensee should so state.

RESPONSE: No changes to report at this time.

2. The licensee's new contact and telephone number (s) to facilitate communications.

RESPONSE: The proposed transaction requires the transferor, Welbom Memorial Baptist Hospital, to sell the Hospital's assets to the transferee, St. Mary's Medical Center, which will continue to operate all such assets following the close of the proposed transaction.

. 6. A complete description of any planned changes in organization, location, facility, equipment, or procedures (i.e., changes in operating or emergency procedures).

RESPONSE: No changes to report at this time.

7. A detailed description of any changes in the use, possession, location or storage of the ,

licensed materials.

RESPONSE: No changes to report at this time.

8. Any changes in organization, location, facilities equipment, procedures, or personnel that would require a license amendment even without the change of ownership.

RESPONSE: No changes to report at this time.

9. An indication of whether all surveillance items and records (e.g., calibrations, leak tests, surveys, inventories, and accountability requirements) will be current at the time of transfer.

A description of the status of all surveillance requirements and records should also be provided. ,

Confirmation that all records concerning the safe and effective decommissioning of the facility, pursuant to 10 CFR 30.35(g),40.36(f),70.25(g), and 72.30(d); public dose; and waste disposal by release to sewers, incineration, radioactive material spills, and on-site burials, have been transferred to the new licensee, if licensed activities will continue at the i same location, or to the N lC for license terminations.

RESPONSE: There is no contamination, or any related decontamination efforts to report at the present time. I

12. A description of any decontamination plans, including financial assurance arrangements of the transferee, as specified in 10 CFR 30.35,40.36, and 70.25. This should include information about how the transferee and transferor propose to divide the transferor's assets, and responsibility for any cleanup needed at the time of transfer. l l

RESPONSE: None to report at the present time. l

13. Confirmation that the transferee agrees to abide by all commitments and representatives previously nMde to NRC by the transferor. These include, but are not limited to: maintaining decommissioning records required by 10 CFR 30.35(g); implementing decontamination activities and decommissioning of the site; and completing corrective actions for open inspection items and enforcement actions.

With regard to contamination of facilities and equipment, the transferee should confirm, in

! writing, that it accepts full liability for the site, and should provide evidence of adequate resources to fund decommissioning; or the transferor should provide a commitment to decontaminate the facility before change of control or ownership.

I With regard to open (Mpection items, etc., the transferee should confirm, in writing, that it accepts full responsibility for open inspection items and/or any resulting enforcement actions; or the transferee proposes alternative measures for meeting the requirements; or the transferor provides a commitment to close out all such actions with NRC before license transfer.

The purpose of this letter is to inform you of a potential change in ownership which would result in a transfer of nuclear regulatory activities currently performed at Welborn Memorial Baptist Hospital, Inc. ("Welborn"). This potential change in ownership and transfer of activities would affect the following Nuclear Regulatory Commission ("NCR") licenses currently held by ,

Welborn: 13-01674-01,13-01674-02, and 13-01674-03.

As required by 10 CFR 30.34(b), St. Mary's Medical Center ("St. Mary's") would abide by all commitments and representations previously made to the NRC by Welborn. All the activities at this facility would continue without change at this time. If there are future changes in the i activities under the existing licenses, such changes would be made according to NRC 1 regulations with prior authorization when required. No decontamination is envisioned at this point. ,

1 St. Mary's and Welborn have agreed to a change in ownership of control of the licensed materials and activities. No known inspection items are pending pertaining to the activities I under the existing NRC licenses at Welborn. Additionally, St. Mary's is committed to abiding by all constraints, conditions, requirements, representations, and commitments identified in the existing licenses.

1. New and amendment actions are normally completed within 90 days, unless we find major deficiencies, or policy issues requiring central program office assistance. You are required to provide yourtaxpayeridentificationnumber to our Fees Department. Please fill out the enclosed NRC Form 531.
