Contract No. NRC-08-97-302 Modification No.1 Page 2 of 3 The purpose of this modification is to (1) increase the maximum ordering limitation (MOL) under the contract by $702,476 for the 2-year base period of performance and $397,507 for the 3-year option period to provide for additional expert technical assistance services to assist the NRC in continuation of nuclear safety training of Lithuanian and other CEE regulators, in accordance with the contract statement of work and the Contractor's technical proposal dated August 5,1998, hereby incorporated, (2) incorporate new provisional indirect rates approved by DCAA for the period 2/1/1998 through 1/31/2003 and (3) perform administrative corrections to remove a redundant clause and correct the MOL for the base period of performance to reflect inclusion of the amount for Task Order No.1 (which was inadvertently omitted in the original calculation). Accordingly, the contract is modified as follows:

Under Section B.3, " Consideration and Obligation - Task Orders (AUG 1989) Alt.1 (JUN 1991)," paragraph (a) is deleted in its entirety and replaced with the fol!owing in lieu thereof:

"a.

The maximum ordering limitation (MOL) for products and services ordered, delivered and accepted under this contract is $1,398,751. The Contracting Officer may place orders with the contractor during the contract period provided the aggregate amount of such orders does not exceed the MOL."

Under Section B.4, " Consideration and Obligation - Task Orders (AUG 1989) Alt.1 (JUN 1991)

Option Period," paragraph (a) is deleted in its entirety and replaced with the following in lieu thereof:

"a.

The maximum ordering limitation (MOL) for products and services ordered, delivered and accepted under this contract is $675,568. The Contracting Officer may place orders with the contractor during the contract period provided the aggregate amount of such orders does not exceed the MOL."

Section B.5 is removed as Section B.3 and B.4 appropriately reflect the minimum and max'num ordering limitation and minimum guarantee under the contract. No limitation on the number of task orde.s is required or necessary.

Under Section G.3, "NRCAR 2052.216-71 Indirect Cost Rates (JAN 1993), paragraph (a) is changed to contain the following rates and their associated allocation base:
