SUMMARY
OF MEETING CONCERNING THE PROPOSED MERGER OF CALENERGY AND MIDAMERICAN ENERGY COMPANY l
1 On September 9,1998, the staff met with representatives from Comed, MAE, and CalEnergy -
Company (CE) to discuss the proposed merger of CE and MAE. CE requested the meeting to inform the staff of their intentions regarding 10 CFR 50.80," Transfer of Licenses." A list of the attendees is provided as Enclosure 1.
l The objective of the meeting was for CE/MAE to address their proposed merger and needs for meeting 10 CFR 50.80. MAE presently owns 25 percent of Quad Cities and Comed owns 75 percent and is the licensed operator of Quad Cities. MidAmerican Energy Holdings j Company (MAEH)is the parent of MAE. The proposed merger willinvolve CE purchasing MAEH which will require an indirect license transfer. The 10 CFR 50.80 submittal will request ,
NRC approval of an indirect license transfer from MAE to its new parent, CE, which will retain I the MAEH name. Because the license will retain MAE as a licensee, the license would not need to be changedc CE, a publicly owned company, is a Delaware incorporated organization, headquartered in Omaha, Nebraska. CE will move to Des Moines, Iowa and be incorporated in Iowa, which is the present headquarters of MAEH. The licensee indicated that the 10 CFR 50.80 submittal will be available by Friday, September 11,1998, and that they will be requesting approval by December 31,1998.
