Dear Mr. Gillespie:

This is to provide an update on the status of settlement negotiations between Alabama Power Company and Alabama Electric Cooperative.

Those negotiations have been on-going actively since mid-June.

Both parties now believe it is probable that a final agreement can be reached in the very near future which will definitively and conclusively resolve this matter.

Based on their discussions to date the parties have developed drafts of a Memorandum of Understanding that would memorialize the points of agreement between them and would conclude the issues now before the Commission.

I The parties have discussed these drafts, and have made cons!derable progress, but further discussions are necessary to iron out a final agreement.

The next meeting between the parties is scheduled for August 10, 1988, and both parties believe that a Memorandum of Understanding can i

be finalized, and the issues before the Commiesion resolved, by Labor Day and perhaps sooner.

Accordingly, a brief additional extension of time in this matter thus is needed to facilitate the possible fruition of these negotiations.

The parties thus jointly request that they be permitted to report back to the Commission by no later than September 15, 1988 regarding their' efforts to finalize an agreement, and that the Commission defer further action in this matter until that time.

It to my understanding that counsel for AEC is today sending you a similar letter.
