NRC-39-88-232 Modification No. 2 Page 2 The purpose of this supplemental agreement is to revise the contract statement of work to: (1) lower a previously installed video cabinet; (2) delete the requirement for the fabrication and installation of a conference table terminated by letter notice of termination dated December 15, 1987, and incorporate the applicable settlement proposal; and (3) extend the contract term.

The parties agree to the following changes:

A. Paragraph C.1.2 "Scope of Work"

1. Add the following requirement as Task 5:

"Task 5 The contractor shall furnish all labor and materials required to lower the video monitor cabinet which faces the Commissioners in the hearing room located on the first floor of "One White Flint North". Work shall be performed in accordance with the contractor's quotation No. XN0588DA dated May 20, 1988, hereby incorporated by reference. The NRC Project Officer shall coordinate the contractor's efforts with the NRC audiovisual contractor to insure that all electrical and video cabling is properly disconnected and reconnected to the video monitor.

2. The fixed price for performance of Task 5 is $4,275.60."

B. Delete all requirements and references to the fabrication and installation of a customized conference table in accordance with the "Notice of Partial Termination for the Convenience of the Government", dated December 15, 1987. The NRC hereby accepts the contractor's termination settlement proposal dated January 14, 1988. The parties further agree to the following terms:

1. The terminated portion of the contract concerns the following items listed in paragraph B.2 of the contract entitled ,

2. The net settlement of $765.00 constitutes payment in the full and complete settlement of the amount due the contractor for the terminated portion of the contract, except as provided in subparagraph 4.
3. Upon payment of the net settlement of $765.00, all obligations of the contractor to perform further work or services or to make f urther deliveries under the terminated portion of the contract and all obligations of the Government to make further payments or carry our other undertakings concerning the terminat.ed porti on of the contract shall cease; provided, that nothing in this agreement shall impair or affect any covenants, terms, or conditions of the contract relating to the completed or continued portion of this contract.
4. Regardless of any other provision of this agreement, the following rights and liabilities of the parties under the contract are reserved:
a. All rights and liabilities, if any, of the parties
under those clauses inserted in the contract because of the requirements of Acts of congress and Executive Orders, including, without limitation, an applicable clauses relating tot labor law, contingent fees, domertic articles, employment of aliens, and i "officials not to benefit."  !

b. All rights and liabilities of the parties arising under contract clause 52.227-2, "Notice and Assistance Regarding Patent and Copyright Infringement, (APR 1984)"
c. All rights and liabilities of the parties, arising under the contract or otherwise, and concerning defects, l guarantees, or warranties relating to any articles or component I parts furnished to the Government by the contractor under the contract or this agreement.

1 C. Paragraph D.2 "Line Items", is hereby revised as f ollows: -

"1. Fabrication and delivery of four (4) Cabinets to house 35-inch color video monitors, 1 lot, ................$42,549.00
