Letter Contract No NRC-39-88-244 Entitled, "Document Control System (DCS)"
Pending negotiation of fonnal Contract No. NRC-39-88-d44 and contingent upon your. acceptance of the terms and conditions of this Letter Contract, Technassociates Incorporated is authorized and ' directed to provide the services necessary for the perfonnance of the subject project, in accordance with the tems and conditions of Contract No. NRC-10-86-251, which is incorporated herein and made a part hereof by reference.
The following special provisions are also made a part of this Letter Contract:
52.216-23 EXECUTION AND COMMENCEMENT OF WORK (APR 1984)
The Contractor shall indicate acceptance of this Letter Contract by signing three copies of the contract and returning two copies to the Contracting Officer not later.than December 31, 1987.
Upon acceptance by both parties, the Contractor shall proceed with perfonnance of the work, including j
purchase of necessary materials.
52.216-24 LIMITATION OF GOVERNMENT LIABILITY (APR 1984)
(a)
In perfonning this contract, the Contractor is not authorized to make expenditures or incur obligations exceeding 160,963.50 dolla rs.
(b) The maximum amount for which the Government shall be liable if this contract is terminated is 160,963.50 dollars.
52.216-25 CONTRACT DEFINITIZATION (APR 1984)
(a) A cost-plus-fixed-fee contract is contemplated. The Contractor agrees to begin promptly negotiating with the contracting Officer the terms of a definitive contract that will include (1) all clauses required by the Federal Acquisition Regulation (FAR) on the date of execution cf the Letter 8803180143 871231

(b) The tchedule for definitizing this contract is:
(1) Data for connencement of negotiations: January 8, 1988 (2) Target date for definitization of the; contract: January 15, 1988 g
(c) If agreemm,t on a definitive contract to sbpersede this Letter Contract is not reached oy the target date in paragraph (b) above, or within any exteniton of it granted by the Contracting Offic9r, the Contracting Officer may, with the approval of the head of the contracting activity, deterstne a reasonable price or fee in accordance with Subpart 15.8 and Part 31 of the FAR, subject to Contractor appeal as provi(ed in the Disputes clause.
In any event, the Contractor shall proceed with completion of the contract, subject only~ to the Limitation of Government Liability clause.
(1) After the Contracting Officer's determination of price or fee, the co.. tract shall be governed by--
(1) All clauses required by the FAR dn the date of execution of this Letter Contract for either fixed-price or cost reimbursement contracts, as ' determined by the Contracting Officer under this pdragraph (c);
(11)Allc13usesrequiredbylawasofthedateofthe Contracting Officer's detemination; and (iii) Any other clauses, terms, and co@1tions mutually agreed.
Upon.
(2) To the extent consistent with subparagraph (c)(1) above, all clauses, terms, and conditions included in this Letter Contr>,
shall continue in effect, except those' that by their nature apply only to a Letter Contract, Mt. Mike Collins, with the NRC Office of Mministration and Resources Hanagement, telephone 492-9927, will serve as Project Officer under this Letter Contract.
