Gentlemen Amendment No. 1 issued September 23, 1987 to NRC License No.

NPF-73 authorized three separate sets of sale and leaseback transactions by licensees Ohio Edison Company, The Cleveland Electric Illuminating Company and The Toledo Edison Company, and Duquesne Light company of these licensees' interests in the Beaver Valley Power Station, Unit No. 2, to certain equity investors, including Associated Southern Investment Company

("ASIC"). ASIC is an indirect subsidiary of Southern California Edison Co. As authorized by the license amendment, ASIC acquired an interest under each set of transactions, which were consummated on September 29, 30, and October 2, 1987 respectively.

ASIC is now transferring its interests to three wholly-owned subsidiaries of ASIC -- Mission Funding Alpha, Mission Funding Beta, and Mission Funding Gamma -- and intends to complete the transfers by January 29, 1988. The First National Bank of Boston will remain the owner Trustea for the transactions, and the terms and conditions of the relevant Facility Leases will remain unchanged. While paragraph 2.B(6) of the License permits such transfer without prior notification to the NRC, this letter is provided as a courtesy.
