On October 20,1995, in sur > ort of the proposed merger with Wisconsin Energy l Corporation, Northern States Power requested NRC approval, pursuant to 10 CFR Part 50, Section 50.80; 10 CFR Part 72, Section 72.50 and 10 CFR Part 30, Section 30.34(b) for transfer of control over the NRC licenses currently held by Northern States Power Company. That request was followed on December 6,1995 by a License I Amendment Request submitted in accordance with 10 CFR Part 50, Sections 50.90 I and 10 CFR Part 72, Section 72.56 which requested changes to the NRC Facility Operating Licenses and the Prairie Island Independent Spent Fuel Storage Facility  ;

(ISFSI) Materials License held by Northern States Power. The proposed changes to I the Facility Operating Licenses and the Prairie Island ISFSI Materials License would have modified the licenses to reflect the Commission's consent of the proposed transfer O

of control of the licenses.

On May 16,1997 Northern States Power Company and Wisconsin Energy Corporation announced an agreement to terminate plans to merge the two companies. As' result of g)d the termination of the planned merger of Northern States Power Company and Wisconsin Energy Company the Transfer of Control of License requested October 20, 1995 and the December 6,1995 License Amendment Request are no longer required.

l Therefore, Northern States Power Company withdraws the October 20,1995 Request i

for Transfer of Control of License and the December 6,1995 License Amendment Request from further consideration by the NRC Staff.
