NOTICE SETTLEMENT OF UNITED STATES NUCLEAR REGULATORY COMMISSION NOTICE OF VIOLATION AND PROPOSED IMPOSITION OF CIVIL PENALTY i

("NRC") issued to United Nuclear Corporation a Notice of Violation and Proposed

Imposition of Civil Penalty. Representatives of United Nuclear Corporation and UNC Incorporated (the " Companies") met with NRC representatives in an Enforcement i

Conference held on March 25,1997. As a result of the Enforcement Conference, the outstanding Notice of Violation and Proposed Imposition of Civil Penalty has been settled by payment of a civil penalty in the amount of $99,000.

l There has been no admission of wrongdoing by the Companies, and payment of the civil penalty puts an end to this unfortunate controversy.

The Companies regret the actions that have given rise to the NRC's issuance of the Notice, and have taken appropriate steps to satisfy the NRC's concerns respecting the accuracy and completeness of their future regulatory submissions.

POLICY MEMORANDUM REGARDINO SUBMISSIONS TO THE UNITED STATES NUCLEAR REGULATORY COMMISSION Effective immediately, any written submissions to the United States Nuclear Regulatory Commission by United Nuclear Corporation shall be reviewed for accuracy and completeness by its President; such submissions shall be made under the signature of its President.

Effective immediately, any written submissions to the United States Nuclear Regulatory Commission by UNC Incorporated shall be reviewed for accuracy and completeness by its Senior Vice President and Chief Financial Officer; such submissions shall be made under the signature of its Senior Vice President and Chief Financial Officer.
