Page 2 of 3 The purpose of this modification is to:

(1) revise Subparagraph B.3 - Schedule of Prices, to allow for an increase in the unit price of each box as a result of an increase in the level of evaluation required to process each record within Tasks I, II, and III of the subject contract.

(2) obligate funds in the amount of $47,044.04 to allow for the continuation of work and for the additional work required. Note:

Of the $47,044.04 obligated, $254.00 represents incremental funding and $46,790.04 represents additional funds required for the increase in work scope.

(3) extend the expiration date of the contract from March 31, 1997 to July 31, 1997, as a result of the increase in the level of effort required for the evaluation process.

Accordingly, the following changes are hereby made:

1.

Under Section B - The Schedule, Subparagraph B.3 - Schedule of Prices, is hereby deleted in its entirety and substituted in lieu thereof the Attachment to this modification.

2.

Under Section B - The Schedule, Subparagraph B.4 - Consideration and Oblication, the first sentence of Subparagraphs (a) and (b) are hereby deleted and substituted in lieu thereof the following:

"(a) The total estimated amount of this contract (ceiling) for the products / services ordered, delivered, and accepted under this contract is $209,044.04.

(b) The amount presently obligated with respect to this contract is $209,044.04."

3.

Under Section F - Deliveries or Performance, Subparagraph F.5 -

Duration of Contract Period, the first sentence is hereby deleted and substituted in lieu thereof the following:

"The ordering period for this contract shall commence on September 30, 1996 and will expire on July 31, 1997."
