RESOLUTION ADOPTED The following resolution was introduced by motion for adoption, seconded and discussed as appropriate, then voted by roll-call ballot. Trustees Timothy P. Cannon, James S. Falvey and Jeanette A. Crislip each voted AYE, for unanimous approval.96-107 APPROVAL OF FIRSTENERGY MERGER WHEREAS, Centerior is a valued corporate citizen, employer and taxpayer in Painesville Township; and WHEREAS, the merger of Centerior Energy Corporation and Ohio Edison would create a $5 Billion, Fortune 300 Company; and

i WHEREAS, this new cepany would become the nation's eleventh largest investor-owned electric system; Ohio's largest single taxpayer, with $516 Million in annual payments; and one of the state's top twenty employers; and l
WHEREAS, the merger would keep jobs in Ohio; create a larger enterprise with more resources, offering customers better electric service and wider array of energy-related products; and WHEREAS, the combination of the contiguous service areas will further assist community and state economic development efforts in attracting jobs over a wider region of Ohio; and WHEREAS, a rate reduction plan has been filed with the Public Utilities Commission of Ohio which j
would greatly benefit Centerior customers with rate reductions commencing after the merger is approved.
NOW THEREFORE BE IT RESOLVED by the Board of Painesville Township Trustees:
Section 1:
That the Painesville Township Trustees hereby urge state and federal regulators to quickly approve the FirstEnergy merger so that Centerior Energy customers and employees can begin to enjoy the benefits as soon as possible.
Section 2.
That copies of this Resolution be forwarded to Governor George V. Voinovich, Ohio Consumer's' Counsel Robert S. Tongren, members of the Federal Energy Regulatory Commission, members of the Nuclear Regulatory Commission, members of the Public Utilities l
Commission of Ohio and the appropriate members of the Ohio House and Senate.
