Dear Mr. Schnell:
The NRC staff has reviewed your February 23, 1996, request for license amendment and April 24, 1996, supplement pertaining to the proposed merger between Union Electric Company and CIPSCO Incorporated. As a result of the review, the staff has determined that the following additional information is needed to complete the review.
In view of the NRC's concern that mergers involving formation of holding companies can lead to a diminution of assets necessary for the safe operation and decommissioning of a licensee's nuclear power plant, and pursuant to 10 CFR 50.33(f)(4), the NRC has sought to obtain commitments from its licensees that initiate such restructurings not to transfer significant assets from the licensee to an unlicensed corporate affiliate without notifying the NRC. The NRC believes its approval of the proposed merger between Union Electric Company and CIPSCO Incorporated should be contingent on Union l
Electric Company making a commitment similar to the following:
Union Electric Company will provide the Director of the Office of Nuclear Reactor Regulation a copy of any application, at the time it is filed, to transfer (excluding grants of security interests of liens) from Union Electric Company to its proposed parent or to any other affiliated company, facilities or other assets for the production, transmission, or distribution of electric energy having a depreciated book value exceeding ten percent (10%) of Union Electric Company's consolidated net utility plant, as recorded on Union Electric Company's books of account.
