and Teknekron Research, Inc.

Whereas, Teknekron, Inc.,1483 Chain Bridge Road, McLean, VA 22101, entered into subject contract with the U.S. fluclear Regulatory Commission on September 1, 1977, A Study to Oetermine the Country's Waste Disposal Needs Through the Year 2000; Nhereas, an agreement between Teknekron, Inc. and Teknekron Research, Inc.

was entered into on November 1,1979 which recognized Teknekron Research, Inc.

as a successor in interest to subject contract effective April 1,1979; and, Whereas, the State of California certified the artic'les of incorporation of Tehnekron Research, Inc. on March 8,1979; and, Whereas, the Contracting Of ficer, acting in her capacity as an agent of the Government, recognized Teknekron Research, Inc. as the successor in interest to subject contract through execution of the tiovation Agreement on March 4,1981; aeo

Therefore, the parties do hereby rutually agree that:

1)

Ts' nakron, Inc. waives all rights under the contract as against the Govern: ant.

2)

Effective April 1, 1979, 72; mikron Research,

',c. assumes, agrees to be round by, and underti t es to perform eacn and every of the terms, covenants, and c:nfi.icns contained in subjec t contract.

Teknekron Research, Inc. has assu.med all obligations and liabilities 3) of and all claims and demands against Teknekron, Inc., in all respects as if Teknekron 2.e s erach, Inc. were the original party to the contract, provided, h:. 2ver, that Teknekron Research, Inc.

shall not be entitled to reimbursement for work performed under said contract prior to the effective date of the agreement.

Pursuant to the foregoing, subject contract is amended as follows:

The name of the' contractor is changed to read, "Teknekron Research, 1.

Inc." wherever it may be cited therein as "Teknekron, Inc.".

The contractor's address is changed from "1483 Chain Bridge Road, 2.

McLean, VA 22101" to "2118 Milvia Street, Berkeley, CA 94704".

All other terms and conditions remain the same.
