Dear Mr. Dinitz:

This'will' confirm our; telephone conversation of Monday, December 10, 1984.

This firm represents Long Island Lighting Company in certain matters involving. licensing and operation of the Shoreham Nuclear Power Station. As you_may know, on Friday, December 7,.1984, the NRC' issued a-license authorizing LILCO to load nuclear fuel in the~Shoreham reactor for cold criticality testing. Initially at least, the fuel to be used at Shoreham will be owned by a trust, administered by the United States Trust Company of New York and Newton I. Waldman as trustees. The United States Trust Company of New York and Mr. Waldman have requested that LILCO obtain written assurance from the NRC that.the trustees are " persons indemnified" within the meaning of that term as used in the indemnity agreement between LILCO and the NRC required by Section 170(c) of the Atomic Energy Act.

LILCO would be most grateful if the NRC would provide the United-States Trust Company of New York and Mr. Waldman the assurances they request. Based on my previous conversa- 4 tions with you, I understand similar assurances have been provided in the past. LILCO hopes to commence fuel loading operations in the next few days and would appreciate your help in expediting this response.
