The merger of Kansas Gas and Electric Company (KG&E) with and into a subsidiary of The Kansas Power and Light Company (KPL) was completed today. The NRC had given its consent to transfer of KG&E's interest in the Wolf Creek Operating License, NPF-42, to KPL and its associated approval of Amendment 53 to NPF-42 on November 19,1991. Notice thereof wa', published in the RdrD1 RegilicI on November 26,1991 (56 Ed. Reg 59664). That consent and amendment were conditioned by the NRC on the merger's being completed on or before March 31, 1992.

Given the completion of the merger today, KG&E withdraws its request, made under exigent circumstances on March 20,1992,P for extension of the March 3i " sunset date" on the NRC's approval. William Reckley, the project manager, has been notified by telephone earlier this afternoon of the merger and this withdrawal. Today's action ends nearly one and a half years of regulatory review and internal preparation beginning on October 2P,1990, when KPL and KG&E announced their intent to merge.

Prior to today's closing, regulatory approvals were received from the Secun tiet end Exchange Commisalon in February 1992; the Kansat e.orporation Commission and tn e Nuclear Regulatory Commission in November 1991; the Federal Energy Regulatory Commission and the Missouri Public Ssrvice Commission in September 1991. KPL and KG&E shareholderu approsed the merger in March 1991.

KGLE common shareholdurs have until 5 p.m. New York time tocay to submit an electf on or change previous elections to express their preference to receive KPL common stock, cash, or a combinaticr. of stock and cash for their KG&E common shares. Instructions for

The conversion ratio for converting KGEE stock into KPL common stock remains at 1.347 KPL shares per KG&E share as it was at the conclusion of the original pricing period.

KG&E shareholders who have previously submitted valid olections nood take no additional action.

Including its now subsidiary, KPL now provides natural gas service to approximately 1,070,000 cuetomore in Kanean, western Missouri, and northern Oklahoma. It provides electric service to 566,000 customore in the eastern half of Kansas. It employs 5,625 persons. 9
