(*NAESCO") on July 16, 1991 filed a petition, pursuant to RSA 369.1, for approval of the issuance of 1,000 shares of common stock, $1 par value, to Northeast Utilities ("NU") for 510 por share, or $10,000 in aggregate; and WHEREAS, Northeast Utilities requests authorization to acquire that stock pursuant to RSA 374:33; and WHEREAS, the purpose of this issue and acquisition will be to capitalize NAESCO as a wholly owned subsidiary of NU and the proceeds of the issuance will be treated as common equity by NASSCO; and WHEREAS, the commission in Docket No.89-244 on July 20,-1990 approved the rate agreement between NU and the State of New Hampshire and found that it would be in the public good for NAESCO to be formed in order to achieve the savings projected for Seabrook in connection with implementing the plan; and i
