NRC Oncrating License NPF-42

Dear Dr. Murley:

Enclosed is the Request of Kansas Gas and Electric Company (KG&E) for transfer, pursuant to 10 C.F.R. 6 50.80, of its 47% undivided possession-only interest in NPF-42, the operating licerse for the Wolf Creek Generating Station. The proposed transfer is to a successor company, also to be called Kansas Gas and Electric Company, as a result of the pending merger of KG&E into a subsidiary of The Kansas Power and Light Company (KPL).

KG&E seeks expedited disposition of its Request since, as is explained further in it, the viability of the proposed merger is, in some respects, a function of time. Apart from a desire to begin realizing the merger's benefits as soon as possible, the merger agreement is terminable l

by either party if the merger has not been completed by December 31, 1991. KG&E has already met once at the working ' level with Staff representatives to' acquaint them with the proposal, and to seek their guidance on the most useful form of filing. KG&E will ensure that the Staff is kept fully current on the progress of the merger, including regulatory developments before other interested federal and state agencies,l' and assures the Staff of its willingness, and l'

In this connection, a draft Stipulation and Agreement which would resolve transmission issues in proceedings before the Kansas Corporation Commission was reached earlier this week.

KG&E will promptly provide the Staff with a copy of the final agreement if and when it is accepted by he KCC, since transmission issues were the sole focus of the antitrust condition, Appendix C, to NPF-42.
