(a) Brief description of work:

The contractor shall provide the hardware, software, and services specified in Section C at the fixed unit prices specified in Subsection B.3 below.

This is an indefinite delivery, indefinite quantity type contract.

(b) Orders will be issued for work required by the NRC in accordance with-52.216 Ordering.

Only Contracting Officers of the NRC or other individuals specifically authorized under this contract may authorize the initiation of work'under this contract. The provisions of this contract shall govern all orders issued hereunder.

(a) The total estigated amount of this contract (ceiling) for the products / services ordered, delivered, and accepted under this.

contract is $1,009,376.00.

The Contracting Officer may unilaterally increase this amount as necessary for orders to be placed with the contractor during the contract period provided such orders are within any maximwm ordering limitation prescribed under this contract.

(b) The amount presently obligated with respect to this contract is $1,000,000.00.

The Contracting Officer may issue orders for work up to the amount presently obligated.

This obligated amount may be unilaterally increased from time to time by the Contracting Officer by written modification to this contract.

The obligated amount shall, at no time, exceed the contract ceiling as specified in paragraph a above.

When and if the amount (s) paid and payable to the Contractor hereunder shall equal the obligated amount, the Contractor shall not be obligated to continue performance of the work unless and until the Contracting Officer shall increase the amount obligated with respect to this contract.

Any work undertaken by the Contractor in excess of the obligated amount specified above is done so at the Contractor's sole risk.

B.5 INDEFINITE QUANTITY As this is an Indefinite Quantity type contract, the -Government will purchase, for the base year, a minimum of:

SECTION C - DESCRIPTION / SPECIFICATIONS / WORK STATEMENT C.1 STATEMENT OF WORK MANDATORY REQU'IREMENTS C.1.1 MICROCOMPUTER SYSTEM The components and features that shall be incorporated into the microcomputer workstation are identified in this section.

The contractor shall provide and support all of the required hardware identified in this section.

The contractor also shall provide and support manufacturer-specific MS-DOS as an operating system'on the systems purchased.

The contractor shall accept full responsibility for ensuring that the entire system works correctly.

The system unit shall be completely assembled (RAM, disk drives and adapters installed) upon arrival at the NRC.

The NRC installers should only have to remove it from the box and connect the keyboard, monitor cable and power cord, and system unit power cord.

Every system provided shall h' ave MS DOS 5.0 or latest version and Windows 3.1 or latest version installed and operational on the hard drive.

Every system provided shall function correctly and meet the mandatory requirements stated in this section.

The mandatory requirements do not exclude any components or features as prov4ded by the original equipment manufacturer as a standard feature of a system.

Any system not operational upon arrival shall be replaced with an -

The requirements of this procurement includes a special~ delivery.

The system unit shall have FCC Class B certification and shall be Page 7 of 42

The system unit shall have a detachable power cord.

The power cord should have a grounding plug, which complies with NEMA 5-15P.

The minimum length of the power cord shall be six (6) feet. The system unit power supply shall be sufficient to supply power for all system components together, including an adapter in each slot.

The system should have an automatic power-on self test to detect.

errors.

If the power-on test gives an error number, a guide must be provided to explain the number (s).

C.1.1.A.1 SYSTEM CONFIGURATION SPECIFICATIONS Intel (or 100% compatible) 486DX/33-Mhz microprocessor (operating at 33 Mhz) with internal RAM cache.

Super VGA with 1MB video memory integrated on the motherboard or provided as an adapter supporting 1,024x768 noninterlaced resolution.

Minimum of eight (8) megabytes (70ns or faster) installed random access memory (RAM) with RAM expansion capability to thirty-two (32) megabytes; using 70ns or faster SIMM sticks.

RAM can be installed either on the mother board in combination with or on an-add-in memory board that can support the maximum installed RAM.

If an add-in memory board is used, the system board must have a proprietary memory slot.

Built-in real-time clock / calendar with battery back-up.

The battery shall be a single, independent, replaceable unit.

n Two (2) RS-232C compatible serial ports with 9-pin or 25-pin D-shell rale connector.

(Cables are NOT a requirement for this contract.)

One centronics parallel port.

Keyboard port.

U.S. English keyboard in QWERTY layout with 101 keys including 12 function keys; indicator light for CAPS LOCK, NUM LOCK, AND SCROLL LOCK keys; and a detachable coiled cable.

PS/2 style mouse port.

C.1.1.A.2 INSTALLED FEATURES One (1) hard disk drive with an average access time of less than 18 milliseconds.

The hard disk drive shall have formatted ~ capacity of at least 200 megabytes.

The hard disk drive shall have an

The hard disk drive shall have park-and-lock feature for the drive heads.

Two(2) high density floppy disk drives with drive activity light on each drive; one 5.25-inch 1.2MB disk drive and one 3.5-inch 1.44MB disk drive.

The 3.5-inch drive shall be installed as Drive A.

C.1.1.A.3 AVAILABLE EXPANSION SLOTS The system shall have at least three available full-sized 16-bit expansion slots after the installation of required adapters and features.

The following adapters shall work properly in the system when installed individually or together:

Madge (or equal) token Ring 16/4 Network Adapter IBM 3278/79 Emulation Adapter C.1.1.B.

MONITOR The monitor shall have FCC Class B certification and shall be UL-listed.

A 14-inch SVGA color display with.28 millimeter or finer dot pitch resolution shall be provided with each system.

The display shall have a maximum noninterlaced 1,024 x 768 resolution with vertical refresh rate at 72 Hz. The monitor shall have the following user controls:

power on/off switch, brightness, contrast, vertical and horizontal size and position.

The cable connector shall be compatible with the SVGA port on the motherboard or adapter provided with the system.

The monitor shall have a detachable power cord.

The power cord should have a grounding plug that complies with NEMA 5-15P.

The minimum length for the power cord shall be seventy-two (72) inches.. The monitor shall have a base with tilt and swivel capabilities, provided as a separate monitor stand if necessary.

All mouse software and drivers required to effectively use the mouse.

C.1.2 WARRANTY All equipment and components shall be covered by a minimum one-year on-site parts and labor warranty, from the date of Government acceptance, at no additional cost to the Government.

Onsite warranty for equipment and components delivered to NRC's Regions shall be ordered, if required, at the price specified in Subsection B.3.

Malfunctioning parts shall be repaired or replaced within 48 hours5.555556e-4 days <br />0.0133 hours <br />7.936508e-5 weeks <br />1.8264e-5 months <br /> of the time reported for service.

After the warranty period, repair parts shall be readily available to the NRC for maintenance of the equipment for a period of 5 years.

C.1.3 TECHNICAL SUPPORT The Contractor shall provide technical support for the purchased systems.

The technical support shall consist of telephone call-in assistance for NRC employees (to be identified by NRC). Technical support shall be'provided from 8:00a.m. to 5:00p.m.,.EST, Monday through Friday, excluding Government holidays, for.the 5-year system life.

Support shall be provided by qualified individuals who are knowledgeable about the system being purchased and are able to assist NRC via telephone.

If call-back support is required, the response after the initial request for assistance shall be within 24 hours2.777778e-4 days <br />0.00667 hours <br />3.968254e-5 weeks <br />9.132e-6 months <br />.

It is not required that the problem be resolved within that time, only that the Contractor respond to get details of the problem and, when possible, provide a solution.'

C.1.4 SOFTWARE COMPATIBILITY i

The commercial available software listed below shall correctly execute under control of PC or MS DOS version 5.0 or latest version on the system.

The Contractor shall package material for shipment to the NRC in such a manner that will ensure acceptance by common carrier and safe delivery at destination.

Containers and closures shall comply with the Interstate Commerce Commission Regulations, Uniform Freight Classification Rules, or regulations of other carriers as applicable to the mode of transportation.

On the front of the package, the Contractor shall clearly identify the contract number under which the product.is being provided.

F.3 DELIVERY SCHEDULE The NRC may order up to 40 microcomputer systems on each delivery order.

The Contractor shall make delivery on delivery orders for 11 to 40 microcomputer systems within 30 calendar days from the date of issuance of the delivery order unless.a change in the delivery time is mutually agreed upon by the Government and the Contractor.

On delivery orders for 1 to 10 microcomputer systems, the Contractor shall make delivery within 14 calendar days from j

ENRC-33-93-227 Section H SECTIO,N H - SPECIAL CONTRACT REQUIREMENTS H.1 NRCAR 2052.209-73 CONTRACTOR ORGANIZATIONAL CONFLICTS OF INTEREST (JAN 1993)

(a) Purnose. The primary purpose of this clause is to aid in ensuring that the contractor:

(1) Is not placed in a conflicting role because of current or planned interests (financial, contractual, organizational, or otherwise) which relate to the work under this contract; and (2) Does not obtain an unfair competitive advantage over other parties by virtue of its performance of this contract.

(b) Scope. The restrictions described apply to performance or participation by the contractor, as defined in 48 CFR 2009.570-2 in the activities covered by this clause.

(c) Work for others.

(1) Notwithstanding any other provision of this contract, during the term of this contract the contractor agrees to forego' entering into consulting or other contractual arrangements with any firm or organization, the result'of which may give rise to a conflict of interest with respect to the work being performed under this contract.

The contractor shall ensure that all employees under this contract abide by the provision of this clause.

If the contractor has reason to believe with respect to itself or any employee that any proposed consultant or other contractual arrangement with any firm or organization may involve a potential conflict of interest, the contractor shall obtain the written approval of the contracting officer before the execution of such contractual arrangement.

(2) The contractor may not represent, assist, or otherwise support an NRC licensee or applicant undergoing an NRC audit, inspection, or review where the activities that are the subject of the audit, inspection or review are the same as or substantially similar_to the services within the scope of this contract (or task order as appropriate), except where the NRC licensee or applicant requires the contractor's support to explain or defend the contractor's prior work for the utility or other entity which NRC questions.

(3) When the contractor performs. work for the NRC under this contract at any NRC licensee or applicant site, the contractor shall neither solicit nor perform work in the same or similar technical area for that licensee or applicant organization for a period commencing with the award of the task order or beginning of work on the site (if not a task order contract) and ending one year after completion of all work under the associated task order, or last time at the site (if not a task order contract).

(4) When the contractor performs work for the NRC under this contract at any NRC licensee or applicant site, (i) The contractor may not solicit work at that. site for that licensee or applicant during the period of performance of the task order or the contract, as appropriate.

(ii) The contractor may not perform work at that site for that licensee or applicant during.the period of performance of the task order or the contract, as appropriate, and for one year thereafter.

(iii) Notwithstanding the foregoing, the contracting officer may authorize the contractor to solicit or perform this type of work (except work in the same or similar technical area) if the contracting officer determines that the situation will not pose a potential for technical bias or unfair competitive advantage.

(d) Disclosure after award.

I (1) The contractor warrants that to the best of its knowledge and belief, and except as otherwise set forth in this contract, it does not have any organizational conflicts of interest as defined in 48 CFR 2009.570-2.

(2) The contractor agrees that, if after award, it discovers organizational conflicts of interest with respect to this contract, it shall make an immediate and full disclosure in writing to the contracting officer. This statement must include a description of the action which the contractor has taken or proposes to take to avoid or mitigate such conflicts.

The NRC may, however, terminate the contract if termination is in the best interest of the government.

(3) It is recognized that the scope of work of a task-order-type contract necessarily encompasses a broad Page 19 of 42

Consequently, if this is a task-order-type contract, the contractor agrees that it will disclose all proposed new work involving NRC licensees or applicants which comes within the scope of work of the underlying contract. contract involves work at a licensee or applicant site, the contractor agrees to exercise diligence to discover and disclose any new work at that licensee or applicant site.

This disclosure must be made before the submission of a bid or proposal to the utility or other regulated entity and must be received by the NRC at least 15 days before the proposed award date in any event, unless a written justification demonstrating urgency and due diligence to discover and disclose is provided by the contractor and approved by the contracting officer.

The disclosure must include the statement of work, the dollar value of the proposed contract, and any other documents that are needed to fully describe the proposed work for the regulated utility or other regulated entity.

NRC may deny approval of the disclosed work only when the NRC has.

issued a task order which includes the technical area and, if site-specific, the site, or has plans to issue a task order which includes the technical area and, if site-specific, the site, or when the work violates paragraphs (c) (2), (c) (3) or (c) (4) of this section.

(e) Access to and use of information.

(1) If in the performance of this contract, the contractor obtains access to information, such as NRC plans, policies, reports, studies, financial plans, internal data protected by the Privacy Act of 1974 (5 U.S.C.

Section 552a (1988)), or the Freedom of Information Act (5 U.S.C. Section 552 (1986)), the contractor agrees not to:

(i) Use this information for any private purpose until the information has been released to the public; (ii) Compete for work for the Commission based on the information for a period of six months'after'either the completion of this contract or the release of the information to the public, whichever is first; (iii) Submit an unsolicited proposal to the Government based on the information until one year after the release of the information to the public; or (iv) Release the information without prior written approval by the contracting officer unless the i

(2) In addition, the contractor agrees that, to the extent it receives or is given access to proprietary data, data protected by the Privacy Act of 1974. (5 U.S.C.

Section 552 (1986)), or other confidential or privileged technical, business, or financial information under this contract, the contractor shall treat the information in accordance with restrictions placed on use of the information.

(3) Subject to patent and security provisions of this contract, the contractor shall have the right to use technical data it produces under this contract for private purposes provided that all requirements of this contract have been met.

(f) Subcontracts.

Except as provided in 48 CFR 2009.570-2, the contractor shall include this clause, including this paragraph, in subcontracts of any tier.

The terms contract, contractor, and contracting officer, must be appropriately modified to preserve the Government's rights.

(g) Remedies.

For breach of any of the above restrictions, or

'for intentional nondisclosure or misrepresentation of any relevant interest required to be disclosed concerning this contract or for such erroneous representations that necessarily imply bad faith, the Government may terminate the contract for default, disqualify the contractor from subsequent contractual efforts, and pursue other remedies permitted by law or this contract, e

(h) Waiver.

A request for waiver under this clause must be i

directed in writing to the contracting officer in accordance with the procedures outlined in 48 CFR 2009.570-9.

(i) Follow-on effort.

The contractor shall be ineligible to participate in NRC contracts, subcontracts, or proposals therefor (solicited or unsolicited), which stem directly from the contractor's performance of work under this contract.

Furthermore, unless so directed in writing by the contracting officer, the contractor may not perform _any technical consulting or management support services work or evaluation activities under this contract on any of its products or services or the products or services of another firm if the contractor has been substantially involved in the development or marketing of the products or services.

(1) If the contractor, under this contract, prepares a complete or essentially complete statement of work or Page 21 of 42

or participate in the initial contractual effort which is J

based on the statement of work or specifications.

The contractor may not incorporate its products or services in the statement of work or specifications unless so directed in writing by the contracting officer, in which case the restrictions in this paragraph do not apply.

(2) Nothing in this paragraph precludes the contractor from offering or selling its standard commercial items to the Government.

H.3 ENGINEERING CHANGES (ADP REQUIREMENTS) (JUN 1988)

(a) After contract award, the< Government may solicit, and the Contractor is encouraged to propose independently, engineering changes to the equipment, software specifications or other requirements of this contract.

These changes may be proposed to save money, to improve performance, to save energy, or to satisfy increased data processing requirements.

However, if proposed changes relating to improved performance are necessary to meet increased data processing requirements of the user, those requirements shall not exceed the contract requirements by more than 25 percent.

If the proposed changes are acceptable to both parties, the Contractor shall submit a price change proposal to the Government for evaluation within 30 days of such acceptance. Those proposed engineering changes

that are acceptable to the Government will be processed as modifications to the contract.

(b) As a minimum, the following information shall be submitted by the Contractor with each proposal:

(1) A description of the difference between the existing contract requirement and=the proposed change, and the comparative advantages and disadvantages of each; (2) Itemized requirements of the contract which must be changed if the proposal is adopted, and the proposed revision to the contract for each such change; Page 22 of 42

(3) An estimate of the changes in performance and cost, if any, that"will result from adoption of the proposal; (4) An evaluation of the effects the proposed change would have on collateral costs to the Government such as Government-furnished property costs, costs of related items, and costs of maintenance and operation; and (5) A statement of the time by which the change order adopting the proposal must be issued so as to obtain the maximum benefits of f.he cbanges during the remainder of this contract, also, any effect on the contract completion time or delivery schedule shall be identified.

(c) Engineering change proposals submitted to the Contracting Officer shall be processed expeditiously.

The Government shall not be liable for proposal preparation costs or any delay in acting upon any proposal submitted pursuant to this clause.

The Contractor has the right to withdraw, in whole or in part, any engineering change proposal not accepted by the Government within the period specified in the engineering change proposal.

The decision of the Contracting Officer as to the acceptance of any such proposal under this contract shall be final and shall not be subject to the " Disputes" clause of this contract.

(d) The Contracting Officer may accept any engineering change proposal submitted pursuant to this clause by giving the Contractor written notice thereof.

This written notice may be given by issuance of a modification to this contract.

The Contractor shall remain obligated to perform in accordance_'

with the terms of the existing contract.

(e) If an engineering change proposal submitted pursuant to this clause is accepted and applied to this contract, an equitable adjustment in the contract price and in any other affected provisions of this contract shall be made in accordance with this clause and other applicable clauses of this contract.

When the cost of performance of this contract is increased or decreased as a result of the change, the equitable adjustment increasing or decreasing the contract price shall be in accordance with the " Changes" clause rather than underlthis clause, but the resulting contract modification shall state that it is made pursuant to this clause.

(f) The Contractor is requested to identify specifically any information contained in the engineering change proposal which it prefers not be disclosed to the public.

Government to prevent disclosure of such information.

H.4 GLOSSARY OF ADP TERMS (JUN 1988)

The definitions and explanations set forth in this glossary are an integral part of the terms and conditions of this contract.

(a) Data Processing Equipment System and/or Subsystem.

The complement of individual machines and operating software furnished by the Contractor and acquired to operate as an integrated group.

(b) Equipment.

An all inclusive term which refers either to an individual machine or to the total complement of machines required to operate as an integrated group.

(c) Equipment and/or Operating Software Failure.

A malfunction in the contractor-supplied equipment and/or operating software, excluding all external factors, which prevents the

)

accomplishment of the job.

J (d) Installation Date.

The date by which the Contractor must have the ordered equipment ready for use by the Government.

(e) Machine.

An individual unit, including features installed thereon, of a data processing system, or subsystem, identified by a type and/or model number, such as a central processing-4 unit, additional memory module, a tape unit, a card reader, etc.

(f) Mechanical Replacement.

The replacement of one machine for another occasioned by the mechanical condition of the equipment being replaced.

(g) Operating Software.

Those routines that interface directly with hardware (including peripheral devices), the computer operations, applications and utility _ programs.

(h) Operational Use Time.

The time during which equipment is in actual operation, exclusive of idle time, standby time, or maintenance time due to machine failure; not synonymous with

  • power-off" time.

(i) Preventive Maintenance.

That maintenance performed by the.

Contractor which is designed to keep the equipment in proper operating condition.

It is performed on a scheduled basis.

All monthly charges for the use (rental) of equipment and software and for maintenance thereof.

(2) Maintenance of Governme,nt-owned.

All monthly charges for the maintenance of equipment and software supplied under this contract.

(n) Alteration.

An alteration is defined as any change to a machine which deviates from the physical, mechanical, or electrical machine design (including microcode), whether or not additional devices or parts are required.

(o) Attachment.

An attachment is defined as the mechanical, electrical, or electronic interconnection of equipment manufactured by other than the original equipment manufacturer and connected to the machine or system.

All equipment and components shall be fully warranted for a period of one year from the date of acceptance as established under Section E herein.

Under the warranty, the Contractor shall provide parts and labor onsite.

If, during the course of the contract, the price for the basic equipment, as relfected under Subsection B.3 - SCHEDULE OF ITEMS AND PRICES, of the subject contract, is reduced, in the aggregate, by 10% or more by the manufacturer, the Contractor shall notify the Government, in writing, of the new price.

At the discretion of the Government, the price schedule in the contract will be modified.

Such notification shall be given to the Government not later than 10 calendar days after the effective date of the aggregate 10% reduction (s).

H.8 TECHNOLOGY REFRESHMENT After contract award, the Contractor, upon commercial announcement.

of new components that can be technically and economically substituted for items listed.in Subsection B.3, shall offer said items for substitution.

These item (s) may be accepted at the option of the Government, provided at least equivalent performance with economic benefits or significantly enhanced performance at no I

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided, that the Governm'ent shall give the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires.

The preliminary notice does not commit the Government to an extension.

The details of any safeguards the contractor may design or develop under this contract are the property of the Government,and shall not be published or disclosed in any manner without the contracting officer's express written' consent.

The details of any safeguards that may be revealed to the contractor by the Government in the course of performance under this contract shall not be published or disclosed in any manner without the contracting officer's express written consent.

(c)

The Government shall be afforded full, free, and uninhibited access to all facilities, installations,. technical capabilities,. operations, documentation, records, and data bases i

for the purpose of carrying out a program of inspection to ensure continued efficacy and efficiency of safeguards against threats and hazards to data security, integrity, and confidentiality.

The Government's liability is limited to an equitable adjustment of cost for such changes or corrections, and the Government shall not be liable for claims of loss of business, damage to reputation, or damages of any other kind arising from discovery of new or unanticipated threats or hazards, or any public or private disclosure thereof.

Except as expressly set forth in writing in this agreement and' except for the implied warranty of merchantability, there are no warranties expressed or implied.

In no event will the Contractor be liable to the Government for consequential damages as defined in the Uniform Commercial Code, section 2-715, in effect in the District of Columbia as of January 1,

Consequential damages resulting from the seller's breach include--

Any loss resulting from general or particular requirements and needs of which the seller at the time of contracting had reason to know and which could not reasonably be prevented by cover or otherwise; and (b)

Injury to person or property proximately resulting from any breach of warranty.
