Washington, D.C. 20555 Gentlemen:

River Bend Station - Unit 1 Docket No. 50-458 During the course of review of the request for approval of the transfer of control over Gulf States Utilities Company (GSU), the holder of Facility Operating License NPF-47 for the River Bend Station, to Entergy Cotporation (Entergy), proposed license conditions have been discussed by representatives of the NRC Staff and the licensee. 'Ihe purpose of such license conditions would be to assure that the NRC is kept informed of significant transfers of facilities from GSU to Entergy or any other entity and the outcome of cenain ongoing litigation.

The NRC Staff has requested GSU~ to supply the language of an acceptable license condition.

Such language is provided below:

2.C.16 Merger-Related Notifications The licensee shall inform the Director - NRR (a) 60 days p:ior to a transfer (excluding grants of security interest or liens) from GSU to Entergy or any other entity of facilities for the production, transmission or distribution of electric energy having a depreciated book.
