Dear Secretary Chilk:

I represent Cajun Electric Power Cooperative, Inc., in the above-captioned proceeding.

Yesterday, I caused to be filed with the Nuclear Regulatory Commission a pleading entitled " Reply of Cajun Electric Power Cooperative, Inc., To Responses To The List Of Contentions."

A letter dated October 18, 1993, from Gulf States Utilities Company to the Commission erroneously was not attached to that pleading.

I enclose herewith, copies of that October 18, 1993 letter.

Copies of that letter are being trans-mitted today to each person upon whom Cajun's pleading was filed,

River Bend Station - Unit 1 TJfs}21 No. 50-458 During the course of review of the repest for approval of the transfer of control over Gulf States Utilities Company (GSU), the holder of Facility Operating License NPF-47 for the River Bend Station, to Entergy Corporation (Entergy), proposed license conditions have been discussed by representatives of the NRC Staff and the licensee. De purpose of such license cond would be to assure that the NRC 13 kept informed of signifmant transfers of facilities from GSU to Entergy or any other entity and the outcome of certain ongoing litigation.

The NRC Staff has requested OSU to supply the language of an acceptable license condition.

Such language is provided below:

2.C.16 Merger-Related Notifications The licensee shall inform the Director - NRR (a) 60 days prior to a transfer (excluding grants of security interest or liens) from OSU to Entergy or any other entity of facilities for the production, transmission or distribution of electric energy having a depreciated book value exceeding one percent (1 %) of GSU's consolidated net utility plant, as recorded on OSU's books of account, and

Entergy has reviewed thl proposed condition and has authorized us to state that it does not object to its inclusion in the license at the same time that the NRC approves the transfer of control over GSU Should you require any funher information, do not hesitate to contact us.
