Dear Mr. Jankovich:
Pacific Nuclear Systems, Inc. (Pacific Nuclear) is in the final stage of acquiring ABB Impell Corporation (Impell). A definitive sales agreement has been signed and, subject to final agreement of the terms, the acquisition is anticipated to be finalized prior to the end of this year.
t in order to enhance the efficiency of our merged companies, we recognize that it will be necessary to consolidate our Quality Assurance programs. Our intention is that the primary focus of the QA program consolidation will be reformatting and nonsubstantive editorial changes of our current QA Manuals. The same codes and standards which are individually invoked will be collectively addressed by our consolidated QA Manual, j
Generally, contracts which are in progress when the acquisition is finalized will be completed I
using the QA program (QA Manual and implementation procedures) under which the contract was begun. For ongoing and other long term projects, we will, in conjunction with our clients, make a determination on a case-by-case basis to complete the project using our existing or consolidated QA program. Based upon client approval of the consolidated QA program, projects awarded after the acquisition will be performed using the consolidated QA program.
Based on the foregoing, it should not be necessary to make any changes other than the administrative recognition of the new company name resulting from this merger.
