This agreement is.made September 19, 1986 by and between Transamerica Delaval Inc. ('TDI'), a Delaware corporation and the. United States Nuclear Regulatory Commission.('NRC'), an independent regulatory commission'of the government of the United j

t states of America', having its principal place of business in l

Washington, D.C.

t Whereas,.the NRC informally requested TDI to make available transcripts of the depositions of Daniel Cady, Edward Deane, and Leola Rountree taken in'Long Island Lighting Company

v. TDI, pending in the southern District of'New York; and Whereas, TDI has agreed to. comply with the informal

request of the NRC; and Whereas, URC staff, including the.0ffice of Investigations, intends to use the depositions in the-furtherance of regulatory and investigatory functions; e

Therefore, TDI and the NRC agree as follows:

The depositions will be treated as confidential j

material by the NRC.

Neither the depositions nor any information contained therein will'be disclosed by'the NRC to anyone outside of the NRC, subject to the provisions of paragraphs 2-6.

In the event the depositions are responsive to a Freedom of Information Act ('POIA') request, request for production, or subpoena served on the NRC, the NRC will i.

send a copy of the POIA* request, request for production, or subpoena to the undersigned counsel for TDI (' undersigned *);

in the event the NRC intends to produce the depositions, it will advise the undersigned of the intended production no later than ten (10) days prior to the proposed production date.

The undersigned will submit any objections to the proposed production no later than five days prior to the production date.

The NRC will notify the undersigned of its final decision regarding production after its consideration of any objections no later than two days prior to-ultimate production of I

In the event the HRC sua sponte intends to release the depositions to anyone outside of the NRC, it will advise the undersigned of the intended
