c, g se AGREEMENT BETWEEN SIMKINS INDUSTRIES, INCORPORATED AND THE U.S. NUCLEAR REGULATORY COMMISSION -

THIS AGREEMENT, No. NRC-10-81-420, between the U.S. Nuclear Regulatory Commission (hereinafter called the Commission) represented by a Contracting Officer of the Division of Contracts, and Simkins Industries, Incorporated, Maryland Board Division, P.O. Box 8249, River Road, Baltimore, Maryland, 21225 (hereinafter called the Manufacturer).

WHEREAS, the Manufacturer.is engaged in recycling secondary fiber (waste paper) used in the manufacture of paper board; WHEREAS, the Manufacturer is interested in acquiring secondary fiber (waste paper) for processing in furtherance of his commercial enterprises as described below; WHEREAS, it would be in the Commission's best interest, as a partial solution to its problem in disposing of classified waste paper, to make available certain of its classified waste paper to the Manufacturer.

NOW, THEREFORE, the parties hereby agree as follows:

1.

The Manufacturer shall:

A.

Furnish the necessary facilities, personnel, and equipment so process approximately one ton of classified waste (mixed paper), approximateiy once per week.

For good cause, such as prior comitments, the Manufacturer may defer accepting deliveries for up to two consecutive weeks.

B.

Provide sufficient controlled access space adjacent to the vat for staging of classified waste paper.

D.

Provide manila rope required for use in vat to collect residue / foreign matter (tails).

E.

In addition to A. above, be prepared to respond on a mutually agreed nue.ber of hours notice from a duly constitutef representative of the Comission to a direction to process the classified waste as hereinbefore set forth.

If the total amount of money due the Commission during a billing period is

$25.00 or less, the Commission will receive no compensation or owe the Manufacturer any monies.

Note:

Inbound loads of paper stock will be weighed at [

the Manufacturer's facility on Eertified Scales to determine the total net tonnage for which reimbursement to the Government', as above, should b based.

G.

Furnish the representative of the Comission a weight slip each time the facility is used reflecting the total amount of paper processed and the current " Official Board Markets" price for one net ton for that period.

H.

Reimbursement due the Government shall be in check form, submitted on a quarterly basis after receipt of an invoice from the Comission, payable to Treasurer of the United States, and mailed to:

The Comission shall:

A.

Provide all escort personnel as and wherever required to perform the security surveillance necessary in the classified waste (mixed paper) disposal process.

B.

Relinquish a'll rights, title, and interest which it may have in the classified waste after processing as set '

forth herein and grant to the Manufacturer full and absolute title to all products resulting therefrom.

3.

There shall be no cost to the Government arising from this Agreement.

r SIMKINS INDUSTRIES, INC. U.S. NUCLEAR REGULATORY COMMISSION 4.

This Agreement shall continued in effect for one year from the date of execution by the parties, unless sooner terminated as set forth hereinafter.

This Agreement may be extended by mutual agreement of the parties as evidenced by written modification thereof.

5.

This Agreement may be terminated upon either party providing

~ not less than 30 days written notice by registered mail to the other party heretc.

6.

It is understood and agreed that the execution of this Agreement by the Commission shall not be construed as a commitment to the Manufacturer for further procurement of supplies or services nor shall it preclude the. Commission from seeking competition in the open market for such supplies or services.

7.

This Agreement constitutes the total obligation of the parties and no other prpmises, either expressed or implied, are made to be imputed between the parties.

IN WITNESS WHEREOF, the parties hereto have executed this Agreement
