SUMMARY

On tiny 16 199 111uminatIng(0,)theNRCstaffmetwithrepresentativesofPSNHandUnited UI to discuss the licensee's amendment that allows VI to enter an arrangement for the sale and leaseback of a portion of their interest in Seabrook Station Unit 1 to certain equity investors.

It was made clear that provisions will be established to assure that the UI transaction with the equity investors in this sale / leaseback deal would have t.o control over either the facility and the power that is generated from the facility or the licensee or licensees, as the case might be. Regarding financial qualification as being 1

en issue, the licensee assured the staff that the same or comparable cash flow sources that the staff analyzed at the time the utility was initially given a construction permit will still be maintained.

PSNH and UI presented their proposal and discussed the following topics:

  • Backround and purpose of the proposal
  • No significant hazards consideration
  • Precedent and anti-trust considerations
  • Financial arrang ments
  • Conclusions A transcript of the meeting, which contains a list of attendees, and the licensee's handout for the meeting are enclosed.
