.2. DESCRIPTION OF AMENDMENT / MODIFICATION The contractor is notified that the above numbered contract (hereinafter referred to as "thn contract") is hereby terminated for the convenience of the Government, in accordance with Article 31 of the General Provisions, entitled " Termination for Convenience of the Government." Such termination will be effective at close of business Monday, December 21, 1981.
In affecting this termination, and in accordance with the Federal Procurement

Regulations, Section'l-8.8, the contractor shall do the following:
1 Upon the effective date of this termination, you shall (a) stop all work by accepting nc N
further NRC guests under the provisions of this contract, (b) accept no new l
reservations under this contract, (c) cancel all existing reservations made by NRC personnel under the provisions of this contract for any period beyond the effective date of this termination, and (d) place no further orders for supplies or for any other items for exclusive use in providng services under this contract, except to the extent that you may wish to retain and continue any werk in process or other materials for your own account, or to the extent that the Contracting Officer authorizes you to continue work in process to prevent undue loss to the Goverr. ment.
(If you believe that the Contracting Officer authorization referred to above is necessary or advisable, you shall immediately notify the Contracting Officer by telephone or personal conference to obtain instructions.)

You shall keep adequate records of your compliance with the terms of this termination, showing (a) the date you received your Notice of Termination, (b) the effective date of such termination, and (c) the extent of work completed under the contract on such effective date.
3.
You shall give notice of termination to each of your immediate subcontractors, if any, who would be affected by the termination of this contract.
In such notice, you shall (a) give him the number of your contract with the Government, (b) state that it has been tenninated for the convehience of the Government, (c) give him the name and address of the Contracting Officer, (d) instruct i
him to stop all work, to make no further shipments, to place no more orders, and to terminate all subcontracts under this contract with you to the extent that such subcontracts. service this terminated contract, (e) direct him to submit his settlement proposal promptly in order to expedite settlement, and (f) request him to give similar notice and instructions to his immediate subcontractors.

You shall submit your settlement proposal and take such other action as may be required by the Contracting Officer or under the termination clause contained in your contract.
Such settlement proposal shall not include claims for services provided under this contract prior to the effective date of this termination. Those services shall be billed in the conventional manner prescribed elsewhere in the contract.
5.
You remain liable to your subcontractors and suppliers for claims arising by reason of the termination of their subcontracts or orders.
You are requested to settle such termination claims as promptly as possible.
For purposes of reimbursement by the Government, such settlements will be governed by the provisions of Part 1-8 of the Federal Procurement Regulations (41 CFR l-8).
The following office will be in charge of the settlement of your claim. As to any matters not covered by this Notice, you shall consult the office. named below:
