Dear Mr. bliller:

This letter is in response to the above referenced letter . (Ref. (a))

inquiring about a reported change of ownership of the Sterling Forest Site and facilities. .

For the purpose of selling its nuclear products business to Medi-Physics, Inc., and yet retair.ing the Tuxedo Reactor in accordance with NRC requiremants, Union Carbloe Corporation in the latter part ' of 1980 conveyad the entire Tuxedo property, including the Reactor, to a newly formed wholly-owned subsidiary of Union Carbide Corporation called Union Carbide Subsidiary B, Inc.. The letters referenced as (b) and (c) above reflect our request to NRC for an appropriate license amendment and NRC's approval thereof. Union Carbide Corpolation, operates the Nuclear Reactor for Union Carbide Subsidiary B, Inc. in accordance with the license and NRC requirements, and. conducts other nuclear operations in accordance with applicable licenses. Union Carbide Corporation conveyed the other assets of its nuclear products business to Cintichem, Inc., and Union Carbide Subsidiary 8, Inc. leases to Cintichem, Jnc. certain buildings on. the site other than the Reactor and its related buildings.

The ownership of Cintichem, Inc. was sold to Medi-Physics, Inc.,

effedtive April 10, 1981.
