Dear Sirs:

The Board of Directors of Southern Nuclear Operating Company has elected Mr. W.

George Hairston President and Chief Operating Officer, effective immediately.

As the company's president, Mr. Hairston succeeds Mr. R. Patrick Mcdonald, who retires June 1, upon customary retirement age. Mr. Mcdonald was named Chairman of the Board and will remain Chief Executive Officer of Southern Nuclear until his retirement, as well as Executive Vice President of Georgia Power Company. As Southern Nuclear President, Mr. Hairston will remain Senior Vice President of Georgia Power Company.

Southern Nuclear's Board also announced that effective June 1, Mr. Allen Franklin, President and Chief Executive Officer of Southern Company Services, will succeed Mr.

Mcdonald as Chairman and Chief Executive Officer of Southern Nuclear. Mr. Franklin will assume those dut:es in addition to his responsibilities at Southern Company Services.
