Interagency-Agreement No. NRC-27-83-447

-Pursuant to the authority contained in Section 7 of the Economy Act of 1932, the US Nuclear Regulatory Commission (NRC) and the Graduate School, USDA, wish to enter into an interagency agreement whereby the Graduate School, USDA, shall provide a Comprehensive EE0 Counseling Workshop for NRC employees.

Accordingly, the parties hereto mutually agree to the following terms of this agreement:

ARTICLE I - STATEMENT OF WORK rovide all course materials and a sufficient number of instructors The USDA shall p(2) EE0 counselor training courses at the NRC facility located in to conduct two the Maryland National Bank Building, 7735 Old Georgetown Road, Bethesda, MD 20014.

Forty (40) NRC empicyees, divided into two groups of twenty (20), shall receive four (4) days of formal classroom training in EE0 counseling during each course.

The first class will run from January 17 through January 20, 1983; the second class will run from January 31 through February 3,1983. Both classes will be held from 9:00 AM to 4:00 PM in Room 1713 on the lobby-level of the Bank Building.

The contractor shall provide a " Certificate of Completion" for each trainee who completes the course.

ARTICLE II - PERIOD OF PERFORMANCE This agreement shall commence on January 17, 1983, and all work shall be completed on February 3,1983.

ARTICLE III - CONSIDERATION In full consideration of the contractor's performance hereunder, the NRC shall pay the Graduate School, USDA, the fixed price of $10,000.00.

1 NRC-27-83-447 Page 2 of 5 ARTICLE IV 0BLIGATIONS The amount presently obligated by the NRC with respect to this interagency agreement is $10,000.00. The funds are chargeable to the following appro-priation data:

81325 ARTICLE V - PAYMENT Payment shall be made in accordance with Clause 2 of the General Provisions entitled " Payments" as soon as possible after completion and acceptance of all of the training, upon submission by the contractor of voucher (s).in a form satisfactory to the Contracting Officer; provided, however, that said payment (s) shall not be deemed to. prejudice any rights which the Government may have by law or under other provisions of this contract.

ARTICLE VI - INTEREST ON OVERDUE PAYMENTS (a) The Prompt Payment Act, Public Law 97-177 (96 STAT. 85, 31 USC 1801) is applicable to payments under this contract and requires the payment of interest to contractors on overdue payments and improperly taken discounts.

(b) Determinations of interest due will be made in accordance with the provisions of the Prompt Payment Act and Office of Management and Budget Circular A-125.

ARTICLE VII - PAYMENT DUE DATE (a) Payments under this contract will be due on 30 calendar days after the later of:

(1) The date of actual receipt of a proper invoice (original and four copies) to the US Nuclear Regulatory Commission, Division of Accounting and Finance, Office of Resource Management, ATTN:

GOV /COM Accounts Section, Washington, DC 20555.

(2) The date the deliverable products (s)/ services performed are accepted by the Government.

(b)

For the purpose of determining the due date for payment and for no other purpose, acceptance will be decemed to occur 30 calendar days after the date of delivery of the deliverable products / services performed in accordance with the terms of the contract.

ARTICLE VIII - INV0 ICE REQUIREMENTS Invoices shall be submitted in an original and four copies to the US Nuclear Regulatory Commission, Office,of Resource Management, Division of Accounting and Finance, ATTN:

GOV /COM Accounts Section, Washington, DC 20555. To constitute a proper invoice, the invoice must include the following information and/or attached documentation:

(1) Name of the business concern and invoice date.

(2) Contract number or other authorization for delivery of property or services.

(3) Description price and quantity of property and services actually delivered or rendered.

(4) Shipping and payment terms.

(5) Name (where practicable), title, phone number, and complete mailing address of responsible offic:41 to whom payment is to be sent.

(6) Other substantiating documentation or information as required by the contract.

ARTICLE IX - GOVERNMENT-FURNISHED MATERIALS The NRC shall provide a suitable training facility to allow the participants to divide up into several groups; an overhead projector; a 16mm projector; and a screen.

ARTICLE X - PROJECT OFFICER Hi Barber is hereby designated as the Contracting Officer's authorized repre-sentative (hereinafter called Project Officer) for technical aspects of this contract. The Project Officer is not authorized to approve or request any action which results in or could result in an increase in contract cost; nor to terminate or settle any claim or dispute arising under the contract; nor issue any unilateral directive whatever.

1.

monitoring the contractor's technical _ progress, including surveillance and assessment of performance, and recommending to the Contracting Officer changes in requirements; 2.

interpreting the scope of work; 3.

performing technical evaluation as required; 4.

performing technical inspections and acceptances required by this contract; and 5.

assisting the contractor in the resolution of technical problems encountered during performance.

Within the purview of this authority, the Project Officer is authorized to review all costs requ sted for reimbursement by contractors and. submit recommendations e

for approval, disapproval, or suspension for supplies / services required under the contract. The Contracting Officer is responsible for directing or negotiating any changes in terms, conditions, or amounts cited in the contract.

ARTICLE XI - INSPECTION AND ACCEPTANCE Inspection and acceptance of the training and training materials to be furnished hereunder shall be by the Contracting Officer of the Project Officer.

ARTICLE XII - SUBCONTRACTS FOR WORK OR SERVICES No contract shall be made by the contractor with any other party for furnishing any of the training or training materials herein contracted for without approval of the Contracting Officer, but this provision will not be taken as requiring the approval of contracts of employment between the contractor and personnel assigned for services hereunder.

If this agreement is acceptable to the Graduate School, USDA, please so indicate by signing below and returning three copies to the undersigned.

The fourth copy is for your retention.
