Letter Contract No. NRC-04-83-168, EPRI/B&W/NRC entitled, " Integral System Test Prograe - Once-Through Integral System (OTIS) and Multiloop Integral System Test (MIST) Components."

Pending negotiation of formal Contract No. NRC-04-83-168, and contingent upon your acceptance of the terms and conditions of this letter as provided below, Babcock & Wilcox (Contractor) is authorized and directed effective June 6,1983, to initiate work entitled " Integral System Test Program - Once-Through Integral System (OTIS) and Multiloop Integral System Test (MIST) Components," in accordance with the Statement of Work as delineated in Attachment I of this Letter Contract. This Statement of Work consists of Phases I and II.

It is understood that the definitive contract shall also incorporate Phase III.

I 2.

Pending negotiation of a definitive contract, the applicable tenns and conditions of this Letter Contract between the Nuclear Regulatory Commission (Commission),

the Electric Power Research Institute (Institute), and the Contractor shall be those delineated in Attachment II.

It is anticipated that the said definitive contract will provide for compensation to the Contractor on a cost sharing basis.

In addition, it is agreed that in the event that a definitive contract cannot be agreed upon between the parties, that the Contractor will be reimbursed for his actual costs in accordance with the cost principles in Federal Procurement Regulations 1-15.2. as in effect on the effective date of this Letter Contract.

Of this amount, the Commission's share will be($243,00030; the Institute V L

In performance of this contract work, the Contractor is authorized to incur costs and comitments not to exceed $300,000.00 to cover estimated costs of performance.

The aforementioned $300,000.00 includes pre-contract costs authorized in the amount of $150,000.00 (see Appendix A).

It is anticipated that the total estimated cost for performance of this work under the definitive contract will not exceed $24,925,565.00. A cost share ratio of 53.36% by the Comission, 4.81% by the Institute, 33.70% for B&W Owners Group, and 8.13% by the Contractor will govern total expenditure of funds under the definitive contract.

In the event that said definitive contract is not executed by the parties by July 11,1983, (or by any subsequent date mutually agreed upon in writing) this Letter Contract will expire on the stated date, as the case may be.

Enclosed are five (5) copies of this Letter Contract. The Contractor shall acknowledge its acceptance by signing all five copies and forwarding four copies to the Electric Power Research Institute (Institute) for execution.

One copy should be retained by the Contractor for its records. The Institute should then execute all four copies of the contract, retain one fully executed copy for its own records and return three (3) copies to the Contracting Officer. A fully executed copy of the contract will then be provided to the Contractor.
