Article II, PERIOD OF PERFORMANCE _, is deleted in its entirety.

The following is substituted in. lieu thereof:

" Article II - PERIOD OF PERFORMANCE The period of performance of this contract shal1 commence on June 17,1982 and shall extend through June 16, 1984.

In. instances in which individual Task Orders are issued within the above specified contract period of performance, but the individually specified Task Order period of performance extends beyond the above contract period of performance, work 'on each such Ta'sk Order shall be completed within the individually specified Task Order period of performance."

Add the following:

" Article III - OPTION TO EXTEND PERIOD OF PERFORMANCE At the unilateral option of the Government, the period of performance of this contract may be extended for up to one (1) year.

Should the Government elect to exercise this option, written notification of such in the form of a modification to this contract will be provided to the Contractor not later than the last day of the then effective period of performance of the contract.

New estimated levels of effort by labor catetory, hourly rates for labor-hour-Task Orders, and indirect rates will be subject to negotiation prior to exercise of this option.

The Contracting Officer may give preliminary written notice of the Government's intent to exercise such option.at least thirtyt

.(30) days prior to the last day of the then effective period of performance of the contract.

However, such preliminary notice shall in no way be construed as an exercise of the option.

Should the Government exercise this option, the total duration of this contract, including the period of this option, shall not exceed three years."

Article IV, ESTIMATED LEVEL 0F EFFORT AND CEILING PRICE, Paragraph A, Level of Effort and Rates is deleted in its entirety.

The following is substituted in lieu thereof:

Revised provisional indirect billing rates will be negotiated, if necessary, based on the results of the above referenced audit. Any

rates so revised shall be incorporated retroactively to the effective date of Modification No. Four (4) hereto.

In addition, the above provisionhl indirect rates, whether revised in connection with the referenced audit or not, may be.further adjusted during the term of this contract upon the acceptance of such revised rates by the Contracting Officer.

Article VIII, List of Documents and Attachments, in Item A..th_el" Fixed Price Supply Contract General Provisions dated 4/1/82," clause No. 52, entitled " Security," was inadvertently left incomplete.

Accordingly, paragraph (e) is deleted in its entirety.

The followira paragraphs e,f, 9 'and h are subst" +ed in lie 6 thereof:

(e) Security ClearanceJPersonnel. The Contractor shall not permit any individual to have access to Restricted Data, Formerly Restricted Data, or other classified information, except in accordance with the Atomic Energy Act of 1954, as amended, and the Commission's regulations or requirements applicable to the particular type of category of classified information to' which access is required.

(f) Criminal Liabilities.

It is understood that disclosure of Restricted Data, Formerly Restricted Data, or other classified information relating to the work or services ordered hereunder to any person not entitled to receive it, or failure to safeguard any Restricted Data, Formerly Restricted Data, or any other classified matter that may come to the Contractor or any pers_on-under the Contractor's control in connection with work under this contract, may subject the Contractor, its agents, employees, or s'ubcontractors' to -

criminal liability under the laws of the United States.

(g) Subcontracts and Purchase Orders.

Except as otherwise authorized in writing by the Contracting Officer, the Contractor shall insert provisions similar to.the foregoing in all subcontracts and purchase orders under this contract.

(h)

In performing the contract work, the Contractor shall assign classifi-1 cations to all documents, material, and equipment originated or generated by the Contractor in accordance with cl.assification guidance by the Commission.

Every subcontract and purchase order issued hereunder involving the origination or generation of classified documents, material, or equipment shall provide that the subcontractor or supplier shall assign classifications tu all such documents, material, equipment in accordance with classification guidan.ce furnished by the Contractor.

5.

Article 1 I, STATEMENT OF WORK, Paragraph B, Subparagraph 1, line 3, delete the reference to " IBM 360/195 'at Oak Ridge National Laboratory."

6.

The " General Provisions for Cost-Type Research and Development Contracts with Commercial Organizations," Article 5.3, Allowable Cost, Fixed-Fee, and Payment,"

Paragraph (c) is deleted in its entirety.

The following is substituted in lieu thereof:

"('c) Promptly after receipt of each invoice or voucher and statement of cost, the Government shall, except as otherwise provided~in%this contract, a

subject to the provisions of (d) below, make payment thereon as approved by the Contracting Officer.

Payment of fixed fee, if any, under Cost-Plus-Fixed-Fee 't'ype, Task Orders, and pay ~ ment of_ fee ' constituting a portion of the specified labor-hour rates in - Labor-HouriTask Orders shall be made to.the Contractor as specified in the ' schedule. }Provided, however

Page 6 that, in the case of Cost-Plus-Fixed-Fee Task Orders, after payment of 85% of the fixed fee set forth in each~ such Task Order, the Contracting Officer may withold further payment of fixed fee, and, provided that, in the case of Labor-Hour Task Orders,1.%.of_the; total amount invoiced for each such Tas.k Order.may be witheld by the Contracting Officer.

Such amounts may be witheld for the purpose of setting-aside a reserve which the Contracting Officer regards as necessary to protect the interests of the Government.

7.

Add the following:

" Article IX - KEY PERSONNEL Pursuant to this ARTICLE IX, the following individual is considered to be essential to the successful performance of the work hereunder and shall not be replaced without the prior approval of the Centracting Officer.

In such event, the Contractor agrees to substitute persons pocsessing substantially equal abilities and qualifications satisfactory to t ? Contracting Officer.
