And what 13 we've been doing is -- and in a low profile way -- is try to 14 . provide for the needs for all those constituencies. 15 VOICE: (Inaudible) scenarios can emerge from 16 tomorrow's special session, including the scenario that 17 lawmakers would back a plan for (inaudible) to maintain 1 18 control, but the Governor has been predicting that if that 19 happens'-- I mean, if the northeast plan fails, that there will L 20 be years of litigation and more cause to rate payers. As far (. 21 as you're concerned, is it back to the drawing board if the h 22 northeast plan is not approved? 23' VOICE: Well, it may or may not be true, you know, 24 litigation table, but we tend to recognize that as the concern 25 of the Governors, if not necessarily so, but it is certainly a

3 i I risk. We would like to resolve this bankruptcy as soon as we i 2 can as well. We recognize that the uncertainty is not good 3 for New Hampshire. i 4 It has been our feeling that the best way, the 5 quickest way to resolve the bankruptcy, is to [ inaudible) i 6 plan which would have [ inaudible) emerge on its own because 7 that would involve fewer regulatory approvals, it could be i 8 done quicker, and we had committed to the sawJ (inaudible) and j 9 the same general terms as exist under the northeast utilities 10

plan, i

11 We still feel that way. Hcwever, we are in the 12 process of trying to be sure that no matter what happens that I 13 all of the needs of our constituencies are met and that 14 includes (inaudible) rates, but it also includes good value for 15 creditors and stockholders and the [ inaudible) plan does have 16 comparable to our [ inaudible) in that regard. 17 Also, you know, there are other factors to look. -18 What happens to the communities in which serve? You know, 19 there's a great concern here in Manchester about there are 750 20 employees in the downtown Manchester area alone and while not 21 saying those would all necessarily be displaced in an 22 (inaudible) takeover (inaudible) and those are the things we're 23 looking at and that's really what's been guiding our discussion 24 making process over the past several weeks, making sure that no l 25 matter happens that all of our constituencies needs will be l

l 4 I addressed. r 2 VOICE Is there any hope for a (inaudible) stand 3 alone plan without the backing of creditors and shareholders? 4 VOICE: Well, it could still happen. There are 5 committees that represent the stockholders and creditors, but 6 the stockholders and creditors themselves still have to vote I 7 and it is possible that they could vote for a [ittaudible) plan 8 or if they feel that the [ inaudible) is going to run into i 9 trouble down the road there are other regulatory approvals 10 necessary. 11 But, it is possible, out what we've been doing is not 12 necessarily derogating the (inaudible) plan or saying it's bad 13 or it shouldn't pass, we've simply been pointing out that our 14 plan -- the attributes of our plan, that if the New Hampshire 15 legislature decides it wants to maintain an independent company 16 we've been pointing out what our plan would do. Essentially, 17 provide the same rates, the same general value, and still 18 maintain an independent company. 19 Now, whether or not that's going to happen, I don't 20 know, and certainly there seems to be a good deal of sentiment 21 on the part of the Governor and others in the legislature for 22 the [ inaudible) plan and what we're trying to do is be sure 23 that whether it's the (inaudible) plan or an (inaudible) plan 24 that we make sure that communities, employees, customers, 25 stockholders, creditors have their needs addressed in the P

m r 5 1 fairest way possible. 2 VOICE: Now, some the legislative supporters of 3 [ inaudible) have said that the Governor has been anti-4 [ inaudible) management. Does the company feel that it was 5 given a fair shake in negotiations with the state? 6 VOICE: Well, to be honest, there is frustration 7 here. One reason is that at one time we did have the support 8 of both of them -- the creditors committee and the equity 9 committee representing stockholders for our plan, which was j 10 modeled after the [ inaudible) plan in terms of rates. Yet, we 11 failed to get the endorsement of the state at that point.

Yet, 12 when both of those committees decided to go with the 13

[ inaudible) plan it was accepted by the state, so there is some 14 frustration. 15 I'm not going to conclude that there's been a bias on 16 the part of the Governor or find any motives there, but, you 17 know, I have to be honest by saying that there has been some 18 frustration but, you know, we have to keep our eye on the big 19 picture, the overall goal, and that is to fulfill our duties 20 (inaudible) responsibilities in a bankruptcy, to obtain best 21 value, and to look out for the other parties here and that's 22 been guiding our decisions over the past several weeks. 23 VOICE: You mentioned employees. With the fate of 24 the company really up in the air right now, what is morale 25 like? L j

l j 6 i 1 VOICE: Well, it varies. I mean, in some parts of 2 the company it's not very good, and others I think it's still 3 very good. Overall, I think it's fair to say that our 4 employees are doing an incredible job of maintaining their 1 5 concentration and doing their jobs throughout this period of 6 very great uncertainty. l 7 There are some parts of the company that, perhaps 8 here at headquarters, where people feel more vulnerable because 9 they may be in positions that might be more likely to be merged 10 or consolidated in the takeover. 11 Again, I think people are -- I think these people 12 deservo an awful lot of credit for persevering through this i 13 period of very great uncertainty in doing their jobs. No names available yet. 5 A (inaudible) man has been found guilty of criminal 6 (inaudible) disorderly conduct for dumping dead fish and other 7 docaying matter on the desk of a state fish and game official. 8 38 year-old Jeffrey Elliott said he was protesting what he 9 called the (inaudible) of Little Diamond Pond in Stewartstown 10 when he dumped the smelly stuff on the desk on (inaudible) 11 biologist Larry Miller in September. 12 The Fish & Game Department is trying to kill 13 (inaudible) perch in the overstocked pond so it can be re-14 stocked with trout. Elliott was fined $200 and ordered to make 15 restitution to Miller and the Fish & Game Department. His 16 order will appear. 17 A Franklin police officer has been fined and had his 1 18 pay suspended for two weeks for operating a snowmobile while 19 drunk. E I 8 ,l i L 1 decision by a Congressional Committee to investigate the ) i 2 Nuclear Regulatory Commission's licensing of nuclear plants. j 3 Representative Peter Costayer of Pennsylvania, Chairman of the 4 House Interior Subcommittee, telling the NRC (inaudible) the 5 investigation has prompted because of that agency's disregard 6 of safety standards, as he put it. 7 (Inaudible) officials say they'll likely press i 8 illegal fishing charges against the Massachusetts (inaudible) boat which allegedl'y rammed the Canadian Navy destroyer to 9 10 escape arrest. The Canadian government says the [ inaudible) 11 Concordia will probably be charged with illegal fishing in 12 Canadian waters and that additional charges may be sought if l l' 13 evidence that Concordia deliberately rammed the Navy -- l 14 Selling military equipment to China. Fitzwater says 15 the final decision has not been made. 16 Meanwhile, Congress is looking into the Bush 17 administration's recent policy on China relations. 18 Expect some serious Bush bashing at the hearing of 19 the Subcommittee on International Economic Policy.
