Whereas, modification no. 2 to this contract expanded the secpe of work to include the development of control room review guidelines, evaluation criteria, and an audit plan with apprcpriate checklists, and Whereas, the centractor was required to make an intercomparisen of the processes

used for designing the conf.rol recm and the centrol roca operationg procedures for eight (8) selected nuclear pcwer plants, and Whereas, the Project Officer and other Office of fluclear Reactcr Regulation (.NRR) perscnnel directed the contractor to (a) perform human factors reviews for two (2) additional flear Term Operating License (flTOL) plants, (b) prepare more detailed comprehensive reports on each plant reviewed, and (c) partici-pate in flRC plant review meetings, and 4

Page 2 Whereas, such direction by NRR constituted an unauthorized procurement

' action, and Whereas, this contract was terminated effective August 8,1980, and Whereas, the Contractor's letter dated November 7, 1980 requests additional funding to cover costs incurred as a result of the above expansion to the scope of work, and Whereas, these costs are attributable to the NRR directed work performed by the contractor, and Whereas, the contractor is entitled to an equitable adjustment to the total estimated cost for performance of said work, and Whereas, DCAA audit report No. 6121-10172003 advised that the contractor had incurred costs in the amount of $273,143.00 in perfcrmance of this centract which costs exceed the total estimated cost contained in the contract by 550,175.00.

Now,Therefore, the follcwing changes are made:

1.

Regarding the contract cover sheet, Standard Fcra 26, block 21, delete the amount "$241,1c3.00" and substitute in lieu thereof the amount "$291,313.00."

2.

Regarding Part II - The Schedule, Subsection E-2 Estimated Cost Fixed Fee and Oblication, the folicwing changes are mace; a.

Paragraph "a" is revised to read as follows:

"a.

It is estimated that the total cost to the Government for full performance of this centract will be 5291,313.00 of which the sum $273,143.00 represents l

the estimated reimbursable costs, and of which the I

sum of $13,175.00 represents the fixed fee."

b.

Under paragraph c, line 2, delete the a~. cunt"$241,143.00,"

and substitute in lieu thereof the amount "$291,318.00."

In consideration of the modification (s) agreed to herein as complete equitable adjustments for the contractor's November 7,1980 claim, the contractor hereby releases the Government for any and all liability under this contract for further equitable adjustments attributable to such
