NRC-10-81-398 Page 2 of 4 ARTICLE I - BACKGROUND Since its structure as an independent Government agency in 1975, the Nuclear Regulatory Commission (NRC) has accumulated highly diversified documents as evidence of its past and current performance of its assigned regulatory and licensing functions.
In addition to their continued relevancy and reference value in current NRC programs, the records are highly valuable to the Federal Gover ~"nt in their documentation of the development, use, and control of nuclear technu.,y as related to licensing and regulatory functions. Except for the 1
administrative category of documents covered by the General Services Adminis-tration's " General Schedule," the NRC has yet ta develop a schedule for the disposition of the agency records in accordance with Federal Regulations.
In that regard, the NRC sought professional assistance to develop such schedules and in February 1980, a contract was awarded to JWK International (NRC-10 383) to gather data on the types of record and non-record material being held by the offices within the NRC.

ARTICLE II - SCOPE OF WORK The Contractor shall perform a follow-on effort of the work that was performed under the above-mentioned contract by providing assistance in resolving NRC staff and National Archives and Records Service (NARS) comments on the proposed

comprehensive records schedule.
The Contractor shall review the comments received frcm the various offices within the NRC on the proposed schedules and eliminate any problem areas. The Contractor shall meet with NRC and NARS staff on an as-needed basis to develop a final version of the NRC Records Schedule. When a schedule is finalized, the Contractor shall meet with NARS staff to obtain official approval of the NRC schedule.
Upon approval by NARS, the Contractor shall assist the Document Management Branch staff in the preparation and dissemination of the guidelines to the NRC staff.
The Contractor shall develop a draft Manual Chapter which will implement the approved NRC Records Schedule.

ARTICLE III - PERIOD OF PERFORMANCE The period of performance under this contract shall commence on March 1,1981, and i
all work shall be completed by-May 1, 1981.

ARTICLE IV - CONSIDERATION i

In full consideration of the Contractor's performance hereunder, the NRC shall j
pay the Contractor at the rate of $25.00 per hour in an amount not to exceed l
$9,000.00.

ARTICLE V - 03 LIGATION The c: cunt presently obligated by the HRC with respect to this centract is
$9,000.00 ARTICLE VI - PAYMENT Paymentashall be made in two installments in accordance with Clause 2 of the General Provisions entitled " Payment." The first installment, not to exceed 54,500.00, is payable April 1,1981, and the final installment not in excess of 54,500.00 is payable upon successful cecoletion of,the contract, upon submissicn by the Centractor of voucher (s) in a form satisfactory to the Centracting Officer, provided, hcwever, that said payment (s) shall not be deemed to prejudice any rights which the Gowrncent may have by law or under other provisions of this centract.

any action which results in or could result in an increase in centract cost; i
or terminate, settle any clain or discute arisino under the contract; or issue any unilateral directive wnatever.
4 The Project Officer is responsible for:
(1) monitoring the Contractor's technical prcgress, including surveillance and assessment of perfomance, and recorm:ending to the Centracting '
Officer changes in requirements; 4
(2) interpreting the scope of work; (3) performing technical evaluation as required;
(?) performing technical inspecticns and acceptances required by this contract; and (5) assisting the Contractor-in the resolution of technical problems encountered i
i during performance.
Within the purview of this authority, the Project Officer is authorized to i
review all costs req'.:ested for reimbursement by contractors and sutnit recerm:endations for approval, disapproval, or suspension for supplies / services required under this contract. The Contracting Officer is responsible for directing or negotiating any changes in terms, conditions, or amounts cited in the contract.

NRC-10-81-398 Page 4 of 4 For guidance from the Project Officer to the Contractor to be valid, it must:
(1) be consistent with the description of work set forth in the contract; (2) not constitute new assignment of work or change to the expressed terms, conditions, or specifications incorporated into this contract; (3) not constitute a basis for an extension to the period of performance or contract delivery schedule; and, as stated above, (4) not constitute a basis for any increase in the contract cost.
ARTICLE VIII - DISSEMINATION OF CONTRACT INFORMATION The Contractor shail not publish, permit to be published, or distribute for public consumption any information, oral or written, concerning the results or conclusions made pursuant to the performan:e of this contract without the prior written consent of the Contracting Officer.
(Two copies of any material proposed to be published or distributed shall be submitted to the Contracting Of ficer. )
ARTICLE IX - GENERAL PROVISIONS This contract is subject to the Fiv.ed Price Research and Development Contracts Under $10,C00 General Provisions dated November 14, 1977, which incorporates the FPR Changes and Additions and the NRC Additions, which is attached hereto and made a part hereof.
Clause 14 entitled " Patent Rights - Acquisition by the Government" is deleted in its entirety.
