I enclose pursuant to the Board's Memorandum and Order of April 22, 1981, Licensee's findings on management issues in the captioned proceeding.
In the findings, we discuss the history of the GPU Nuclear Group and GPU Nuclear Corporation, as well as their regulatory approval status,. based on the evidence of record.
Counsel is not aware of any change in the status of regulatory approvals from the status reported on the record.

Page Two Presently, the TMI-l licensees are Pennsylvania Electric Company and Jersey Central Power and Light Company, as owners, and Metropolitan Edison Company, as an owner and the operator.
Organizationally, TMI-l is being operated for Met Ed, with NRC -
licensing approval, by the currently constituted GPU Nuclear Group.
It is intended as soon as regulatory approvals are received, that GPU Nuclear. Corporation, which is functionally analagous to the GPU Nuclear Group, will become an NRC licensee and the exclusive operator of TMI-1.
No change in ownership would be involved.
The restart record in our view would support restart of TMI-l by either the GPU Nuclear Group or the GPU Nuclear Corporation, with 'he NRC Staff's concurrence as reflected c
in Supplement No. 3 to its Evaluation Report.
However, the Board has been charged by the NRC Commissioners with reviewing Met Ed's competency and not GPU Nuclear Corporation's.
Recognizing the potential jurisdictional problem for the Board, we submitted to the Commission in January, 1981, a motion to extend to the Board authority to consider whether GPU Nuclear Corporation could restart TMI-1.
In CLI-81-3, the Commissioners deferred ruling on our request pending c
i further guidance from the NRC Staff.
At the same time that we requested the Commission to extend the scope of the Board's authority to consider the GPU Nuclear Corporation, we submitted to the Director, NRR, a request to amend the present TMI-l license to add GPU Nuclear Corporation as a co-licensee with the existing three entities and as the one entity exclusively authorized to operate the i
plant.
We anticipate that the Director shortly will issue this license amendment (subject to other regulatory approvals) l and concurrently will provide the Commission with further l
guidance to allow it to modify the Board's authority to con-sider GPU Nuclear Corporation as operator of TMI-l for restart.
Pending further Board authority from the Commission, Licensee's view is that the Board could recommend restart by Met Ed operating through the GPU Nuclear Group, but could only commend to the Commission, based on the record, that it consider as well granting authority for restart to the GPU Nuclear Corporation.
Assuming, however, as we do, that the Staff will provide shortly to the Commission the requisite further guidance it needs to act on Licensee's January, 1981

Little May 15, 1981 Page Three motion, and that the Commission grants the motion, then in Licensee's view the Board would be free to reconinend restart in accordance with that Commission Order, presumably by either Met Ed or GPU Nuclear Corporation.
Licensee intends to continue to track this issue and further intends to provide additional guidance to the Board at the time the management reply findings are submitted, if not before.
