This endorsement amends the Assignment of Interest in Return i Premiums.

It is agreed that Endorsarent No. 27 capticned " Assignment of Interest in Return Premium and in Reserve Premium Refund", as amnded by Endorsement No. 31 is further amended to read:

i 1. All prenium due for the insurance afforded by this policy is to be paid by Georgia Pcwer Ccrpany.

. 2. Any reserve pranium refund which may be returnable pursuant

to the Industry Credit Rating Plan Premium Endorsenent is to be paid to Georgia Power Cctrpany or its assigns or successors in interest, and Oglethorpe Pcwer Corporation-and Municipal Electric Authority of Georgia and City of Dalten, Georgia hereby transfer and relinquish all of their rights thereto.
