FOR CERTIFICATION OF ORDER GRANTING JOINT MOTION OF THE DEPARTMENT OF JUSTICE AND NUCLEAR REGULATORY COMMISSION STAFF FOR MODIFICATION OF THE BOARD 'S ORDER REGARDING PROTECTION OF SETTLEMENT DISCUSSIONS In accordance with the Appeal Board's Orders dated July IS, 1980 and August 14, 1980, Central and South West Corporation and its subsidiaries (collectively "CSW") hereby notify the Atomic Safety and Licensing Appeal Scard that they are renewing their petition for certification previously filed herein en March 12, 1980.

CSW believes that the justifications for directed certification stated in its March 12, 1980 petition are as applicable today as they were then and indicate that the Appeal Scard should direct certification and grant review of the Licensing Scard's Orders of March 7, 1980 and August 13, 1980 cenpelling producticn of documents prepared psos 8 008220 og Sg

. in connection with settlement discussions.

The caly relevant circumstance which has intervened since the March 7 ruling of the Licensing Board is that CSW, Ecuston Lighting & Pcwer Company ("HLP") and the Texas Utilities subsidiaries ( "TU " )

did in fact execute a Settlement Agreement on June 9, 1980.

CSW believes hcwever that the fact that settlement discus-sions among these parties have preven successful dces not provide any basis for requiring disclosure to other parties of documents prepared in connection with the settlement discussions.

The chilling effect on settlement discussions of a rule that would permit discovery of settlement-related documents where a settlement is reached by fewer than all

.the parties to multi-party litigation is nearly as great as the effect

'f a rule that provides no protection to such documents. The policy protecting settlement documents should not be undermined by requiring such documents to be dis-closed to one adversary merely because a settlement has been reached with ancther.

This is particularly true where, as here, negotiations among all the parties are continuing and litigation may be avoided.

Moreover, the settlement concluded between CSW, HLP and TU is centingent upon the entry of orders by varicus regulatory agencies, and provides that at certain, intervals after the date of the settlement Agreement, CSW may elect to terminate the Settlement Agreement and resume participation

. in litigation against TU and ELP in these proceedings.

Consequently, although a Settlement Agreement has been signed, there is no guarantee at this point that CSW cn cre hand and ELP and TU on the other hand =ay not yet find themselves in an adversary relationship with respect to issues and matters discussed in the documents which are the subject of the Licensing Board's orders.

This fact likewise indicates that the execution of the Settlement Agreement does not provide a justification for the Licensing Board's' orders.

WHEREFORE CSW respectfully requests that this Appeal 3 card: (1) grant direcued certificatica of the Licensing 3 card's March 7, 1980 and August 13, 1980 orders; (2) reverse the March 7 and August 13 Orders and hold that documents prepared solely in connection with settlement dis-cussions are not subject to discovery; and (3) stay the effectiveness of the March 7 and August 13 Orders pending resolution of this matter.
