IN SUPPORT OF DUQUESNE LIGHT COMPANY'S CLAIMS OF PRIVILEGE I, William F. Gilfillan, Jr. , being first duly sworn on oath depose and state the following:

1. I am Vic"- President - Marxeting & Customer Services of Duquesne Light Compa y and have held that position since 1965.

2. With regard to Document Nos. 1 through 8 submitted l

by Duquesne Light Company to the Special Master for in camera examination under claims of attorney-client privilege, I have reviewed these documents and am familiar with the matter set forth therein and the circumstances relevant to their preparation.

3. Document Ncs.1 through 5 were prepared by outside (Doc. Nos.1, 2, 4 and 5) and inside (Doc. No. 3) counsel for

Duquesne Light Company in connection with litigation that was pending at the time against the company. The matters set forth therein deal directly with said pending litigation, and for that reason these communications are of a confidential nature; they were not then, and are not now, intended for disclosure to anyone other than the persons to whom they were distributed (as reflected in Duquesne's submission to the Special Master) -- all of whom are responsible members of management of the Company or its attorneys.

The documents have not been circulated to other Company employees, nor to anyone else.

4. Doc. Nos. 6 through 8 are my personal notes taken during the course of conversations with lawyers for Duquesne Light Company on matters relevant to the same litigation to the Company as referenced in paragraph 3 above. These conversations, and the notes thereof, are of a confidential nature; they were not then, and are not now, intended for disclosure. My personal notes have not been seen by any persons other than attorneys for Duquesne Light Company.
