CONSOLIDATION OF OPERATIONS UNDER ENTERGY OPERATIONS, INC.-

.The staff met with the licensee at the NRC headqu rters on October 12, 1989 to a

1 discuss the licensee's submittals and staff's review for the proposed traasfer of operations to the Entergy Operations, Inc. (E01). The list of attendees is enclost d.

LThe licensee's submittals made in August 1989 reflect the change in proposed consolidation from System Energy Resources, Inc. (SERI) to E01. The E01 reference to operations and management was clarified to mean management within i

E01 as operators of all three sites. The Chief Executive Officer and President is Mr. William Cavanaugh and the Executive Vice President and Chief Operating Officer is Mr. D. C. Hintz. The remaining management and technical qualification

information remains unchanged from the findings previously proposed under the SERI consolidation.

The consolidation actions in some areas, identified in the SER, will require r

prior NRC review for the initial consolidation.

Subsequent actions can then be I.-

' performed under the regulation as was intended by the regulation. Other areas of consolidation, principally any changes of management and personnel at the E01 headquarters level will not require NRC approval. The licensee has committed to informing the NRC on such moves and our stated position has been that the l

NRC does not object to the licensee's commitment.

In the review of the staff's findings and preparation of the liccase conditions, z

it was determined that the Waterford amendment did not include the recent license conditions for sale and leaseback. This will be added.

Ir all the license conditions, the provision on antitrust was questioned but due to circumstances, it cannot be ascertained that the licensee was informed on tt.e
