I, Robert M. Gross, Jr, of Southern Engineering Company of Georgia, employed as consultant by Tex-La of Texas Electric Coop-erative (Tex-La) being duly sworn, hereby depose and state:

1. Tex-La and Texas Utilities Company have been engaged in negotiations August,1979 to attain a settlement of the Nuclear Regulatory Commission proceedings captioned Houston Lighting &

Power Company et al. (South Texas Project, Units 1 and 2), Docket  ;

Nos. 50-498A and 50-499A, and Texas Utilities Generating Company, et al. (Comanche Peak Steam Electric Station, Units 1 and 2),

. Docket Nos. 50-445A and 50-446A. Specific meetings between the I parties have been held on the following dates:

Recently, drafts of settlement conditions have been pro- -

posed in writing by the parties. On April 15, 1980, a meeting is preuntly scheduled to discuss each party's proposed conditions of sett7ement. There appears to be some likelihood that a settlement between the parties can be reached within the next thirty days.

2. I believe that the thirty-day extension that has been requested will be of substantial assistance in our effort to communicate in furtherance of our objective of attaining a fair and reasonable settlement.
3. I have personal knowledge of the facts stated herein, and they are true and correct to the best of my information, knowledge, and belief.
