BROWNSVILLE's SETTLEMENT STATUS REPORT

1. The attorneys for the Public Utilities Board of Brownsville,

Texas, attended a meeting in which the three Texas companies presented a general explanation of the proposed settlement items to the representatives 1 l

of the Nuclear Regulatory Conmission, Department of Justice and Federal l Energy Regulatory Commission, with counsel for the Securities and Exchange  !

l Conmission attending as observer. Brownsville also met separately with representatives of NRC, Justice and FERC.

2. Brownsville views the presentation as not in sufficient detail as to provide a basis for detennining whether the proposed settlement has a reasonable prospect of success, i_.e., that all parties can accept it, 1

and that it can be demonstrated to the above agencies to be in the public inte rest. We do note that the proposed settlement does not cover improved coordination or pooling of the Texas electric utilities interconnected s3 3tems, nor of the Southwest Region, inter alia.

3. Brownsville's attorneys met with C&SW attorneys (David Rosso and Michael I. Miller of Isham, Lincoln & Beale) in Chicago on Friday, May 2nd, and commenced what appear to be meaningful negotiations with

O O reference to Brc.vnsville's direct interests, although the parties are far apart on some substantial items. Brownsville cannot at this time predict whether these negotiations will be successful.

4. Brownsville believes that an early trial schedule should be adhered to by the Board, but it would not object to one final 30-day postponement in order to give the parties time to explore the possibility of settlement.
