Dear Mr. Shapar:

You have requested our advice pursuant to Section 105(c) of the Atomic Energy Act, as amended, regarding a proposed amendment to the construction perrait of the above referenced nuclear unit to allow Cajun Electric Power Cooperative, Inc.

( "Caj un") and Sam Rayburn G&T, Inc.

(" Sam Rayburn") to become co-owners of that unit.

Cajun will acquire a thirty percent interest in the 940 megawatt unit (approximately 282 megawatts) and Sam Rayburn will acquire a seven percent interest (approximately 66 megawatts).

Our review of the information submitted for antitrust review purposes, as well as other information available to the Department, pro-vides no basis at this time to conclude that the participation in the River Bend Station, Unit 1, by Cajun and Sam Rayburn would create or maintain a situation inconsistent with the antitrust laws.

Accordingly, it is the Department's view that no antitrust hearing is necessary with respect to the proposed amendment to the construction permit.
