+f The Small Business Administration (hereinafter called SBA) entered into 9-Contract No. NRC-10-79-378 (hereinafter called the prime contract) witn the U. S. Nuclear Regulatory Commission (hereinafter called NRC) to furnish services O',,.

for the " Design of the.NRC Supply and Maintenance Modules of the Property a

and Supply System" as more specifically described therein. A copy of said prime contract is attached hereto and made a part hereof.

The parties agree that Rehab Group, Inc. (hereinafter called the Subcontractor) shall for and in the stead of SBA fulfill and perform all of the requirements of the prime contract for the consideration stated therein. The Subcontractor aknowledges that it has read and is familiar with each and every part of the prime contract.

It is expressly understood and agreed that-the GENERAL PROVISIONS are applicable to the Subcontractor.

Payment (s) will be made directly to the Subcontractor by NRC.

The Subcontractor further understands and agrees that the responsibility for administering this subcontract has been delegated to the agency specified in Block 5 of Standard Form 25 and that Subcontractor will honor directions of the requests for changes by the installation in like manner as if issued by SBA.

In light of the pu pose for which award is here.in authorized, i.e., to assist the Subcontractor award achievement of viability, the Subcontractor agrees not to further subcontract any of the performance of the above named (supplies / services /

construction) not already provided for in his proposal at the time of acceptance yit,hopt prior written approval of the SBA contracting officer.

Failure to comply with this provision may be a cause for termination of this contract for default.

SCOPE OF WORK Terms and Conditions ARTICLE I - SCOPE OF WORK A.

BACKGROUND In March,1977, effort was started for development of functional

requirements for the possible automation of all Nuclear Regulatory Commission (NRC) property control, conference room schedule, maintenance recording, and supply inventories.

This effort was terminated in August,1977 with the issuance and formal acceptance of'the document entitled " User Requirements for the Property and Supply System (PASS)" dated August,1977.

Following acceptance of this document, a decision was made by the Division of ADP Support to develop the property module of the system and to use a Data General Eclipse C330 minicomputer for the system.

In April,1978, the Property Subsystem -

Module I of PASS, was completed and is presently in production status.

The second phase in the development of PASS i's the development of Modules II & III - Supply and Maintenance Subsystems.

In June,1978 a work effort was begun toward developing a new user requi.rement document for both subsystems. A Detailed Functional System Requirements (DFSR) document was completed and accepted in September,1978. The NRC has decided to proceed with the design of the two subsystems.

B.

SCOPE OF WORK The contractor shall provide ADP Systems Analysis and Design services to the NRC in support of the Supply and Maintenance

Subsystems - Modules II and III of PASS. The Functional and Data Requirements Document (DFSR) plus Work Orders for System fiaintenance since September 25, 1978, shall be used as the basis for this work. The resulting design document will be of sufficient detail to provide maximum guidance for future development.

'k h The Supply and Maintenance Subsystems will be designed as on-line interactive systems using remote tenninal equipment for d

data collection. Limited batch reporting shall be accepted within the limitations established by the existing property g

module.

1 The Data Base shall be established using Data General's INFOS File Management Software Package. All new data records necessary for the Supply and Maintenance SuLsystems shall be added to the existing single data base for PASS.

No separate data bases will be acceptable.

The various existing PASS inefficiencies noted in the DFSR n

document have been resolved by NRC prior to the commencing of this design effort for the Supply and Maintenance Subsystems.

Included as part of the DFSR document are the NRC Work Order Requests detailing the complete modifications to the existing

, PASS System For the purpose of this design effort, these completed Work Order Requests are considered to be a part of the Requirements Document and the contractor shall consider P

them as such.

Note: The NRC shall provide applicable Data General mini-computer documentation required for satisfactory performance of the work described hereunder.

DELIVERABLES 1.

Proaress Reoorts The contractor shall provide a progress report to the COAR on both the first and fifteenth day of each month during the contract period.

Progress reports shall include as a minimum the following:

(a) Project name and Contract number (b) Identification of each tass and personnel assigned (c) Current status of each task (d)

Progress since previous report (e) Anticipated progress du-ing next reporting period (f) Problems encountered or anticipated and methods by which they will.be overcome

System / Subsystem Desian Document At the conclusion of work required hereunder, the contractor shall submit five (5) copies of a System / Subsystem I

Design Document for Module II and III - Supply and Maintenance Subsystems to the Contracting Officers Authorized Representative (COAR). Within ten (10) working days after receipt of i

this document, the COAR will provide comments and/or approval in writing to the Contractor.

The Contractor shall make necessary revisions to this document within ten (10) days after receipt of COAR coments.

Imolementation Estimate Concurrent with the above submission, the Contractor shall provide to the C0AR five (5) copies of a proposed time / cost estimate for implementation of the system as

defined in the System / Subsystem Design Document.

Additional Reouirements Deliverables 1, 3 and 4 above shall be submitted in typed final form.

Five (5) days prior to the submission of deliverables 3 and 4 above, the contractor shall notify s

the COAR of such impending submission.

Project Status Meeting 4

A project status meeting shall be held within two (2) days after receipt by the CCAR of *5e Contractur's written progress report.

The Contractor should be prepared to discuss all items covered in the progress report, and should be prepared to give a b-ief oral presentation of the. system's progress.

, ARTICLE II PERIOD OF PERFORMANCE The period of performance for work required hereunder shall commence as of the effective date of this contract and shall be completed within four (4) months after said effective date.

ARTICLE III CONSIDERATION A.

Firm Fixed Price and Oblication 1.

Nothwithstanding Article 7 of the General Provisions, the Contractor shall be paid the firm fixed amount of

$45,129.60 upon submission and acceptance of all deliverables required hereunder and submission of a properly executed invoice to the Division of Accounting, Office of the Controller, U. S. NRC, Washington, DC 20555.

The amount presently obligated by the Government with respect to this contract is $45,129.60.

ARTICLE IV KEY PERSONNEL Pursuant to Clause No. 40 - Key Personnel, the following individuals are considered to be essential to the successful performance of the work hereunder and shall not be replaced without the prior approval of the Contracting Officer.

In such event, the Contractor agrees to substitute persons possessing substantially equal abilities and qualifications to the Contracting Officer.

Joaquin Roman Paul Colletta The Contractor shall notify the Contracting Officer or the COAR thirty (30) days in advance of diverting any of these individuals.

w ARTICLE VI TECHNICAL, DIRECTION AND AUTHORIZED REPRESENTATIVE A.

The Contracting Officer may designate an authorized representative (C0AR) under this contract for the purpose of assuring that the services required under the contract are performed in accordance therewith. Any technical instructions issued shall be signed by the authorized representative of the NRC. As used herein, technical instructions are instructions to the Contractor which provide details, suggest possible lines of inquiry, or otherdise complete the general scope of work as set forth within, and shall not constitute new assignments of work or changes of such a nature as to justify an adjustment in fixed fee, cost or perfomance schedule.

Such representative as may be appointed will be specially designated in a

writing to the Contractor frcm the Contracting Officer, including the extent of such designee's authority.

B.

A NRC user representative (UR) will be designated by the COAR upon execution of the contract.

Such UR shall provide information to the contractor w__

Property and Supply Subsystem, as necessary. However, the I

C0 and C0AR are the only individuals authorized to grant the required approvals and/or issue technical instructions as described herein.

ARTICLE VII SECURITY / CLASSIFICATION (Subject to Security Clearance)

A.

The contrictor and contractor's personnel will be governed by the provisions of the Security / Classification Requirements,

NRC Form 187, attached hereto and foming a part of this contract.

Notwithstanding~ Claus'e 51 of the General Provisions entitled " Security," to the contrary, and in addition thereto, the parties hereto agree that the COAR shall be the Authorized Classifier for all classified information or material delivered under this contract and NRC shall provide classification guidance to the contractor as required in the perfomance of this contract.

ARTICLE VIII CCMPUTER ACCES:/0FFICE SPACE A.

The contractor shall have access to the NRC Data General Eclipse C330 computer for performance of work required hereunder.

B.

The NRC will provide the Contractor with the necessary office space and furniture to accomplish the work required hereunder.

ARTICLE IX GOVERNMENT-FURNISHED PROPERTY (Short Form)

A.

The Government shall deliver to the Contractor, for use only in connection with the contract, the property described in the schedule or specifications (hereinafter referred to as " Government-furnished. property"), at the times and locations stated therein.

If the Government-furnished property, suitable for its intended use, is not so delivered

to the Contractor, the Contracting Officer shall, upon timely written request made by the Contractor, and if the facts warrant such action, equitably adjust any affected provision of this contract pursuant to the procedures of the " Changes" clause hereof.

B.

Title' to Government-furnished property shall remain in the Government.

The Contractor shall maintain adequate in accordance with sound industrial practice. property c C.

Unless otherwise provided in this contract, the Contractor, upon deliverv to him of any Government-furnished property, y,

assumes the risk of, and shall be responsible for, and tear, and except to the extent that such property is consumed in the performance of this contract.

D.

The Contractor shall, upon completion of this contract, prepare for shipment, deliver f.o.b. origin, or dispose of all Government-furnished property not consumed in the performance of this contract or not theretofore delivered to the Government, as may be directed or authorized by the Contracting Officer.

The net proceeds of any such disposal shall be credited to the contract price or paid in such other manner as the Contracting Officer may direct.
