NRC-03-79-131 Page 3 of 5 Article I - SCOPE OF WORK The Contractor shall provide assistance to the Antitrust and Indemnity Group and the Office of the Executive Legal Director (Staff) of the Nuclear Regulatory Cornission (NRC) pertaining to antitrust hearings for the South Texas Nuclear Generating Station, Units 1 and 2, (South Texas).

In particular, the Contractor will be required to undertake the following work:

(1) A review of the documents and tremoranda in Staff's possession which will be transmitted to Transcomm by Staff Counsel; (2)

Continued review of documents that have been filed and will continue to be filed by the parties; (3)

Dr. Lerner's participation and consultation during deposition of A. Gerber; (4)

Participation by Dr. Lerner in additional depositions as the need arises--possibly in the Southwest; (5)

Input and/or Formulation of additional interrogatories proposed by Staff; (6)

Responses to sample questions proposed by the Staf f re:

the economic issues in the case; and (7) A written analysis in three (3) copies of Transcomm's recon :endations for the economic elements and theory of the case shall be forwarded to Staff Counsel.

Article II - PERIOD OF PERF0FdANCE The period of performance shall commence February 23, 1979, and end on April 30, 1979.

Article III - PAYMENT The Contractor shall be paid for services rendered by applying the heurly rate set forth in the 80A to the number of hours worked for each category of labor.

In addition, the Contractor shall be reinbursed at cost for all reasonable travel costs incurred in performance of his duties, and other niscellaneous costs including telephone, reproduction, etc.

NRC-03-79-131 Page 4 of 5 Article IV - AUTHORIZED REPRESENTATIVE The following authorized representative will represent the Government f-the purpose of this contract:

Article V - DISPOSITION OF CASE-RELATED DOCUMENTS The Contractor shall retain and safeguard all case-related documents provided to him by Staff Counsel, until such time as this contract is completed or if a follow-on-effort is required, said documents can be made accountable under any future contract.

Article VI - KEY PERS0"NEL The personnel specified below are considered to be essential to the work Prior to diverting any of the specified being performed hereunder. individuals to other programs, the Contractor shall notify the Of ficer reasonably in advance and shall submit justification (includina proposed substitutions) in sufficient detail to permit evaluation of the No diversion shall be made by the Contractor without impact on the program.

Provided, that the the written consent of thc Contracting Officer:

Contracting Officer may ratify in writing such diversion and such ratification shall constitute the consent of the Contracting Officer required by this clause.

The attachment of this contract may be amended from time to time during the course of the contract to either add or delete personnel, as appropriate:

NRC-03-79-131 Page 5 of 5 Article VII - DISSEMINATION OF CONTRACT INFORMATION The Contractor shall not publish, permit to be published, or distribute for public consumption, any information, oral or written, concerning the results or conclusions made pursuant to the perfonr.ance of this contract, without the prior written consent of the Contracting Officer.

(Two (2) copies of any material proposed to be published or distributed shall be submitted to the Contracting Of ficer).

Failure to comply with this clause shall be grounds for tennination of this contract.

Article VIII - ORDER OF PRECEDENCE In the event of an inconsistency between the terms and conditions of this contract, the inconsistency shall be resolved by giving precedence in the following order:

(Note - Nothing contained in the Contractor's proposal, whether or not incorporated by reference, shall constitute a waiver of any terms of conditions provided in the Schedule).

Other terms and conditions of the contract, whether incorporated by reference or othenvise.

Article IX - GENERAL PROVISIONS AND MODIFICATIONS The following General Provisions attached to the Basic Ordering Agreement awarded to Transcomm, Inc. and refercoced below form a part of this contract and are modified as set forth below; General Provisions for Time and Material or Labor Hour Contract a.

Appendix A, General Provisions, Fixed Price Technical Assistance Contract:

Clause No.'s 2, 3, 5, 10, 11, 23, 30, 39, 40, 49 and deleted in their entirety.

2.

The following clause No. 23 entitled, " Disabled Veterans and Veterans of the Vietnam Era" (FPR Temp. Reg. 39) by this reference is substituted in lieu thereof.
