CONTRACTS SUF' LIES / SERVICES / CONSTRUCTION The Small [:usiness Administration (hereina fter called SBA) entered into Contract No. NRC-09-79-373 (hereinafter called the prime contract) with the U. S. Nuclear Regulatory Conmission (hereinafter called NRC) to furnish " Design of an Integrated Financial Management Information System" as more specifically described therein. A copy of said prime contract is attached hereto and made a part hereof. The parties agree that Technassociates, Inc. (hereinafter called the Subcontractor) shall for and in the stead of SBA fulfill and perform all of the requirements of the prime contrect for the consideration stated therein. The Subcontractor ackno.: ledges that it has read and is familiar with each and every part of the prime contract. It is expressly understcod and agreed that the GENERAL PROVISIONS are applicable to tF> Subcontractor. Payment (s) will be nade directly to the Subcontractor by MRC. The Subcontractor further understands and agrees that the responsibility for administering this subcontract has been delegated to the agency specified in Block 6 of Stancard Form 26 and that Subcontractor will honor directions of the requests for changes by that installation in like manner as if issu by SPA. In light of the purpose for which award is herein authorized, i.e., to assist the Subcontractor award achievement of viability, the Subcontractor agrees not to further subcontract any of the performance of the above named (supplies /ser, ices /cor.struction) not already provided for in his proposal at the time of acceptance without prior uritten approval of the SSA contracting officer. Failure to comply with this provision May be a cause for termination of this contract for default. 2214 169

SCHEDULE Scope of Work Terms, and Conditions ARTICLE I 3 COPE OF UCRK A. Backcround The !!uclear Regulatory Ccmmission (iiRC) was establisted in January,1975, as a result of a Federal Government reorganizaticn by which the nuclear regulatory activities were separated from the Atomic Energy Commission (AEC). Since that time, the Office of the Controller of itRC has been utilizing the financial system inherited from AEC. This system has been in operation in excess of ten years and has a significant number of operational de fici encies. As such, the !!RC Controller at i;RC desires to complete the design, development and implementation of a new Integrated Financial Management Information System (IFMIS) which should be more responsive to management needs and necessary for GA0 approval of a new agency accounting system. While some efforts in this regard have already been made, the Controller needs contractor / consultant assistance for the development and implementation of the proposed System. This Statement of Work (SO'.!) solicits a response for the completion of Functional and Data Requirctents Analysis; development of System / Subsystem Specification; and completion of the agency Accounting System Designs and Acccunting System Designs: ADP Application, for submission to GA0 and an Implementation Plan. When this work is successfully ccmpleted, HRC will determine subsequent action to be taken regarding the overall program. B. Objectives The objectives of this effort are to provide the fiRC with Functional and Data Requirements Analysis, Development of System / Subsystem Specifications; and completion of the Agency's Accounting System Designs and Accounting System Designs: ADP Application, for submission to GA0 for necessary approval; and an Implementation Plan which will serve as a basis for the continued development of IFMIS. In completing the contract tasks the contractor should strive to take advantage of any of the efforts and documentation that has previously been accomplished by other contractors or the Division of Accounting Staff. C. Statement of Work The Contractor shall provide the necessary personnel, facilities and services, except as provided herein, to accomplish the following tasks: 2214 171

Phase I Task 1: Functional and Data Requirements Analysis - The Contractor will identify and document all user functional and data requirements and those requirements imposed by regulatory influences such as GAO, Treasury, CMS, etc. The Contractor will document the Accounting System Designs of the Agency. The performance of Task I will require the following: a. Define the major operating objectives. b. Review existing financial methods and procedures. c. Review the existing hardward and software for adequacy. d. Revieu and analyze IFMS documentation developed to date. e. Define the proposed financial requirements for a totally Integrated Financial Management Information System (IFF115) for the Office of the Controller. The components include general ledger, accounts payable (travel, government and ccamerciul), accounts receivable (travel advances, employee, and licensee and miscellaneous accounts), capitalized plant and equipment accounting, and funds accounting with input frca payroll and budget as necessary to meet all internal and external reporting requirements. The system should include an automatic payments feature to eliminate the bulk of manually prepared payment schedules and to provide a capability to present the Department of Treasury with computer generated payment tapes for issuance of checks on behalf of NRC. f. Describe the financial raethods and procedures proposed to meet the financial system requi rement. 2214 172
i k i = . 9 Define the hardware and software operating environment for the proposed system. h. Prepare a Functional and Data Requirements document for the proposed automated system in accordance with all applicable FIPS Publications and with the Draft URC Automated Systems Documentation Guidelines dated October,1978, which are consistent with guidance of FIPS PUS 33. i. Complete the necessary documentatica of the Agency's Accounting System Designs in sufficient detail for submission of the IFMIS System to GA0 for approval. The guidance for these documents are included in GA0's " Review Guide for Federal Agency Accounting System Designs" dated January, 1977. The Contreor shall not perform any effort on Task's 2 and 3 until (1) the Task i deliverable (the Functional and Data Requirements Document and the Accounting Systen Designs) has been approved by MRC, and, (2) authorization to proceed with Tcsk 2 has been given in writing to the Contractor by the Contracting Of.'icer (CO). Within a period of fifteen (15) days after submission of the Task l deliverables, the NRC will provide comments and/or approvai of such deliverables. Within one week after receipt of NRC cc ments the Contracter shall make necessary changes and/or revisions to the deliverables. Phase II (See Paragraph G 0PTIOM) Task 2 IFMIS System / Subsystem Specifications - The Contractor will take the approved results of the Task 1 effort and develop a systems design which will be subject to the approval of the NRC. This effort will include as a minimum and subject to the agreement of the parties hereto, the following: a. Describe the system processes and logic flow. b. Describe the user processing requirements and the automated and manual interfaces for subsystem components. 22:14 173
,. = c. Dete-mine the data element process requirements. d. Define the logical organization of data files. e. Describe the system operating,rocedures and the timing for processing of data and reports, f. Describe the impact i.e. - benefits, additional requircments, etc. of the new systcn to NP.C Of fice of the Controller (Accounting and Budget). g. Prepare a System /Subsysten Specifications Document for the automated portion of the IFMIS in accordance with the draft NRC Automated Systems Documentation Guidelines, October, 1978, and all applicable FIPS publications. This document will include system and subsystems specifications and will not be totally limited to system design, data base specifications or program specifications. h. Complete the necessary documentation on the Agency's Accounting Syst-em Designs : ADP Applications in sufficient detail for submission to GA0 for approval. The guidance for the preparation of the document relating to the Agency's Accounting System Designs, ADP Applications are included in GAO's " Review Guide For Federal Agency Accounting System Designs: ADP Applicaticr.s" dated May,1978. If possible without additional cost or disruption of the project the contracccr should complete the documentation requirements for the Accounting System Designs: ADP Applications, for submission to GAO prior to the total completion of the System / Subsystems Specifications Document. Task 3: Prepare Implementatien Plan - The Centractor is to develop an implementatici. plan to carry on the efforts described above to full implementation. The implementation plan is to include as a minicca the following: a. Develop a strategy for IFMIS implementation. Consider NRC priorities, existing operating environment, system conversion and parallel operation. 2214 174

Develop implementation schedule for IFMIS which uust include es a minimum such items as: Data Conversion Unit and systcm test plan Coding and testing Users and Operations Manual Automated System Maintenance Manual Documentation Training and system conversion System test and paralleled operation System acceptance Review and approval cycles for all formal r documentation D. Deliverables The following documents are required hereunder and shall be submitted to NRC by the Contractor in compliance with the schedule. (Paragraph E) Phase I Functional and Data Requirements Analysis Task 1 a. Task I will be considered complete upon delivery and approval of an IFMIS Functional and Data Requirements Document and deliverable letter "b" below. b. GA0 Accounting System Designs and Applicable Check List Task I will include the Acency'k List docurJei1ts s Accountina System Designs and the GA0 Chec completed in proper format and required detail for submission to GAO as required in the "Revicw Guide For Federal Agency Accounting System Designs" dated January, 1977. 2214 17,3
. Phase II (Option Item to Proceed) Task 2 c. System / Subsystem Specifications Document Task 2 will be considered complete upon delivery and approval of an IFMIS System / Subsysten Specifica!.icns Document and the documentation as indicated in Deliverable "b" below. b. GA0 Accounting System Designs: ADP Application Task 2 will include the Agency's Accounting System Designs: ADP Applications and the GA0 Check List documents completed in proper format and required in the " Review Guide for Federal Agency Accounting System Designs: ADP Applications" dated May, 1978. Task 3 Implementation Plan - Task 3 will be considered complete upon delivery of an acceptable IFMIS Implementation Plan and Schedule prepared for approval of MRC Office of the Controller (C0"). The C0AR will provide the necessary approval for COM. E. Schedule Phase I - to be cc:rpleted within five (5) r.ionths after effective date of contract. Phase II (0ptional) - to be completed agreed upon prior to the Governments exercise of the option hereunder. F. Additional Requirements The contractor should demonstrate in the response to this SO'.1, that the firn and the proposed staff possess the necessary skills and experience to successfully acccmplish the required tasks. In addition, the Contractor should indicate that they will tale advantage of any of the efforts and documentation that has previously been acccmplished by other contractors or the Division of Accounting Staff. G. Oction 1. Thirty days (30) prior to the conclusion of Phase I the Contractor shall submit required Phase I deliverables and an Optional form 60 Cos t Proposal for performance 2214 176

The Optional Form 60 shall be supported by detailed breakdowns of costs, i.e., materials, subcontracting, labor-hours (by categories) etc. Within thirty (30) dcys after receipt of deliverables under Phase I and cost proposal for Phase II, the C0 will notify the Contractor in writing whether or not it. intends to exercise the optien to proceed with work under Phase II. Such preliminary notice shall not be construed as an exercise of the option, and will not bind the Government to exercise the option. This option shall be exercised, if at all, by written or telegraphic notice signed by the C0 and sent within the option period specified above. In the event that the contract is extended in accordance 2. with subparagraph I above the Contractor shall perform work under Phase ;I. The parties hereto agree that upon issuance of the order exercising this cption, the following modifications will be made to the contract terms and conditions in effect as of the date that such issuance is made: The pr iod of performsnce specified in Article II - a. Perica of Performance will be increased by a period to be egreed upon by the parties. ~ b. The estinated cost fixed fee and obligation soecificd in /c ticle III - Consiceration will be increased by an amount agreed to by the parties hereto prior to cxercising the option described hereunder. ARTICLE II PERIOD OF PERFORMANCE The period of performance for work required under Phase I shall commence as of the effective date of this contract and shall be completed within five (5) months after said effective date. ARTICLE III COMSIDERATIOM Estimated Cost, Fixed Fee, and Oblication It is estimated that the total cest to the Government for 1. full performance of Phase I of this contract will be $112,439.00 of which the som of $102,919.00 represents the estimated reimbursable costs, and of which $9,520.00 represents the fixed fee. 2214 177

There shall be no adjustment in the amount of the Contractor's fixed fee by reason of dif ferences between any estimate of cost for performance of the work under Phase I of this contract and the actual cost for performance of that work. 3. The amount presently obligated by the Government with respect to this contract is $ 112,439.00. ARTICLE IV KEY PERS0MMEL Pursuant to Clause Mo. 40 - Key Personnel, the followirq individuals are considered to be essential to the successful performance of the work hereunder and shall not be replaced without the prior approval of the Contracting Officer. In such event, the Contractor agrees to substitute persons possessing substantially equal abilities and qualificaticns to the Contracting Officer. Any technical instructions issued shall be signed by the authorizca representative of the NRC. As used herein, technical instructions are instructions to the Contractor which provide details, suggest possible lines of inquiry, or otherwise ccmplete the general scope of work as set forth within, and shall not constitute new assignments of work or changes of such a nature as to justify an adjustn.ent in fixed fee, cost or parformance schedule. Such representative as may be appointed will be specially designatcd in writing to the Contractor from the Contracting Officer, including the extent of such designee's authority. 2214 178
8 SECURITY /CLASSTFICATION (Subject to Security Clearance) ARTICLE VII The Contractor and contractor's personnel will be governed by A. the provisions of the Security / Classification Requirements, NRC Form 187, attached hereto and forming a part of this contract. (Attachment A). Contractor personnel requiring continual access to idC facilities will be required to have "L" clearances and r.u.,t complete applicable clearance forms. Guidance and necessary forry, will be pr ovided t,y the COTR. Notwithstanding Clause 51 of the General Provisions entitled B. " Security," to the contrary, and in addition thereto, the parties parties hereto agree that the NRC contact shall be the Authorizcd Classifier for all classified information or material delivered under this contract and NRC shall provide classification guidance to the contractor as required in the performance of this contract. The Contractor and contractor's personnel will be governed by, C. and shall assign classification markings to information or material, originated or generated by the contractor as determined by the Project contact. If subsequent to the date of this contract, the security level D. under the contract is caanged by the Ccmmission and such change causes an increase or accrease in the estinated cost or the tima require:' for performnce under this purchase order, the contract cost, delivery schecule, or both and any other provisions of the r antract that may be affected shall be subject to an equitable .djustment by reason of such increased or decreased costs. ARTICLE VIII COMPUTER ACCESS /0FFICE SPACE The Centractor shall have eccess to the NRC mini-ccacuter for A. performance of work required hereunder. The NRC shall provide the Contractor with the necessary office B. space to accomplish initial on-sight interviews, reviews, interactions and related activities. Mcwever, all activities which do not require interaction with IOC personnel and/or access to NRC facilities, shall be perforced at the Contractor's facility. ARTICLE IX ORDER OF PRECEDENCE _ In thr event of an inconsistency between provisions of th~is contract, the inconsistcncy shall be resolved by giving precedence in the (a) the Schedule; (b) the General Provisions', following order: (c) other provisions of the contract, whether incorporated by reference or otherwise; ami (d) the Contractor's technical proposal, 2214 179

General Provisions This centract is subject to the provisions of Appendix A, General Provisions, Cost-Type Contract With Concerns Other Than Educational Institutions, dnted February 15, 1978, which is attached hereto and t,y this reference ncde a prt hereof. B. Alteraticas In addition to those general provisiens set forth in Appendix A hereto which are by their terms self-deleting, the following deletions and/or modifications to Appendix A are as follows: 1. Clause 3 entitled " Limitation of Funds" is deleted in its entirety. 2. Clause 23 entitled " Nuclear Hazards Indemnity - Product Liability" is deleted in its eatirety. 3. Clause 53 entitled " Private Use of Information and Data" is deleted in its entirety,.and the following is substituted in lieu thereof: " CLAUSE 53 - FRIVA.T USE AND ri:0TECTIC'l 0F l'NCLASSIFIED GOVERTENT I Mi'OiM M I O!i" A. Except as specifically authorized by this contract, cr as otherwise apsroved by the Cuntracting Officer, rescrds or other information, documents and material furnished by t' Co:rmission to the contractor in the performance of this contract, or information d veloped by the Contractor in the course of the work hereunder, shall be used only in connection with the work performed under this sentract. The Contractor shall, upon completion or termination,f this contract, transmit to the Ccamission all records, r other information, documents and material, and any copies thercef, furnished by the Commission to the Contractor or deveicped by the Contractor in the performance of thia contract. B. The Contractor shall be responsible for safeguarding from unauthorized disclosure any information or other documents and material exempt from public disclosure by the Commission's regulations and made available to the Contractor in connection with the performance of work under this contract. The Contractor agrees to conform to all regulations, requirements, and directions of the Commission with respect to such material. C.
